Clean Max Enviro Energy Solutions has successfully raised ₹2,500 crore through green debt securities, or non-convertible debentures (NCDs), on a private placement basis. According to the latest regulatory filing dated September 28, 2026, this represents one of the company's largest domestic capital-markets issuances to date and adds fixed-rate, long-term institutional capital alongside equity and project-level debt. The NCD issuance was structured across five series with maturities ranging from two to 10 years, with fixed-rate coupons ranging from 8.25% to 8.76%. The bonds are rated, secured, listed and redeemable and are structured with a secured lock-box mechanism for financing and/or refinancing solar, wind, hybrid generation and battery storage projects.
The NCD issuance attracted participation from international and domestic institutional investors, with the International Finance Corporation (IFC), National Bank for Financing Infrastructure and Development (NABFID), and India Infrastructure Finance Company Limited (IIFCL) anchoring the issue. As reported by the latest regulatory filing, other investors included Aditya Birla Capital, IDFC First Bank, Nippon India Mutual Fund, and select corporates. The NCDs are rated CRISIL AA/Stable on both CleanMax's corporate credit and its NCD programme, with the rating assigned in September 2026. Trust Investment Advisors Private Limited (TIAPL) acted as the sole arranger for this unique structured NCD issuance in the C&I renewable energy segment, marking the first of its kind in India's C&I renewable sector.
The NCDs were issued under CleanMax's Green Bond Framework, with the proceeds allocated to large-scale renewable energy projects. According to the regulatory filing, the Framework has been independently reviewed by CareEdgeAdvisory for alignment with applicable Securities and Exchange Board of India (SEBI) regulations and the International Capital Market Association (ICMA) Green Bond Principles, 2025. The bonds are backed by a defined green-use-of-proceeds framework, ensuring that all proceeds are allocated specifically for renewable energy projects. This structured approach provides transparency and accountability in the use of green financing for sustainable energy development, with the company establishing a Green Bond Committee with a robust approach towards evaluating and mitigating environmental and social impacts throughout the lifecycle of the projects.
India's renewable energy sector is entering a phase of stricter grid discipline with the revised Central Electricity Regulatory Commission (CERC) DSM Regulations coming into effect on April 1, 2026. According to ratings agency Crisil, these stricter rules could significantly impact project economics, with DSM charges potentially reducing project IRRs by 50-100 basis points if left unmanaged. The revised framework mandates a phased transition from using available capacity as the denominator to using scheduled generation, resulting in much larger deviation percentages for the same generation shortfall. Additionally, the revenue-neutral tolerance band (RNTB) for solar and wind-solar hybrid projects has been reduced from ±10% to ±5%, while wind projects' tolerance band has been narrowed from ±15% to ±10% to account for higher volatility in wind generation.
Shares of Clean Max Enviro Energy Solutions have experienced recent volatility amid market developments. The stock has demonstrated strong long-term performance with advance of 2% in the past week and 9% over the month, while maintaining a year-to-date rally of 57%. However, the company is currently in focus due to a likely ₹1,063 crore block deal involving 85 lakh shares, which has contributed to recent price movements. On a year-to-date basis, it has rallied 57%, while hitting a 52-week high of ₹1,536 per equity share on June 24, 2026, and touching a year's low of ₹727.10 on March 30, 2026. The company maintains a total market capitalisation of ₹16,140.70 crore as of September 28, 2026.
Kuldeep Jain, Founder and Managing Director of CleanMax, stated that "Green bonds bring together two things that are increasingly linked – capital and climate action. This issuance channels institutional capital towards renewable energy while creating another avenue for investors to participate in CleanMax's growth. The calibre of investors also reflects the confidence in our fundamentals and the predictability of our contracted cash flows." Nikunj Ghodawat, Chief Financial Officer, emphasized that "Pricing this issue in the current macro environment with volatile interest rates made the CRISIL AA/Stable rating especially valuable as it helped us secure a tight spread and lock in fixed-rate funding on our longest tenor of 10 years." The issuance is described as a meaningful step in deepening CleanMax's access to the domestic bond market, allowing it to move beyond project-level financing and draw on a broader base of institutional investors.
