Tata Steel has invested ₹1,340 crore (approximately $140 million) in its wholly owned overseas subsidiary T Steel Holdings (TSHP), according to an exchange filing by the company. The investment was executed on Thursday, August 27, with the company acquiring 162.04 crore equity shares of TSHP. Each share carries a face value of $0.0864. For regulatory disclosure purposes, Tata Steel converted the investment into rupees using the Reserve Bank of India's August 24 exchange rate of ₹95.7258 to the dollar.
This investment forms part of a larger funding plan that Tata Steel's board approved in March 2026, as reported by CNBC TV18. Under this comprehensive funding strategy, the steelmaker has the capability to inject up to $2 billion more into TSHP through the subscription of equity shares in one or more tranches. The current investment represents a significant portion of this approved funding framework, with the latest $140 million infusion being a relatively small part of the total capital that the parent has been authorised to deploy in the subsidiary. The board's approval in March raised Tata Steel's overall investment limit in T Steel Holdings to $26.21 billion.
The investment maintains Tata Steel's complete control over TSHP, which will continue to remain a wholly owned subsidiary of the parent company. According to the exchange filing, the ownership structure remains unchanged despite the substantial capital infusion, ensuring Tata Steel maintains full operational and strategic control over its overseas operations. The latest equity subscription doesn't alter the relationship, with Tata Steel continuing to own 100% of TSHP after the transaction.
Tata Steel shares closed 0.64% lower at ₹186.80 on Thursday, the day of the investment announcement. The company had last provided an update on the investment programme on June 24, indicating the ongoing nature of this strategic capital deployment. Tata Steel didn't disclose how TSHP intends to use the latest infusion, leaving the specific application of these funds to be determined by the subsidiary's management.
