Hardwyn India has successfully implemented its 2:5 bonus issue for shareholders, with the board of directors approving the issuance on June 5. According to the latest reports, the company will issue 19,53,73,622 equity shares of ₹1 each amounting to ₹19.53 crore to implement the bonus issue. The bonus equity shares will be issued in the ratio of 2 bonus equity shares of ₹1 each fully paid-up for every 5 equity shares of ₹1 each fully paid-up held by shareholders as on the record date. The company has set June 26 as the cut-off date to determine who can vote in the EGM, while the record date for the bonus issue eligibility remains to be announced. The bonus issue is expected to be dispatched within two months of the board's approval, by August 4.
Alongside the bonus issue, Hardwyn India's board has approved increasing the company's authorised share capital from ₹50 crore to ₹70 crore. The expanded capital structure will be divided into 70 crore equity shares with a face value of ₹1 each, compared to the current 50 crore shares with the same face value. This represents a 40% increase in the company's authorised share capital to support future growth and expansion plans. The company's standalone free reserves stood at ₹19.65 crore as of March 31, 2026, providing adequate reserves for the bonus issue implementation. The bonus issue signals management's confidence in future earnings and capital reserves, with the 2:5 ratio representing a significant distribution following their previous 1:3 bonus in 2023.
Hardwyn India delivered exceptional financial results in Q4 FY26, with consolidated net profit jumping 83.87% to ₹3.42 crore compared to the previous year. The company's revenue from operations increased by 25.22% to ₹57.15 crore in Q4 FY26 over Q4 FY25, demonstrating robust operational performance. The strong financial results reflect the company's successful execution of its premium architectural hardware strategy and expanding market presence. Hardwyn India specializes in premium solutions for residential and commercial spaces, including door hardware, kitchen fittings, shower enclosures, and furniture fittings, positioning itself well in the premium segment of the architectural hardware industry.
The market responded positively to the bonus issue announcement, with Hardwyn India's stock rising 0.12% to ₹24.40 on the BSE following the announcement. While bonus issues are fundamentally value-neutral, the 40% increase in share count often leads to short-term speculative interest in low-float stocks like Hardwyn. The stock price will adjust downward by approximately 28.5% on the ex-bonus date to reflect the increased total shares outstanding, though the total value remains the same initially. The bonus issue is expected to increase daily trading volume due to lower absolute price per share, while retail liquidity is anticipated to rise as the entry barrier for small investors lowers. This corporate action is a tactical move to manage equity servicing costs while expanding the shareholder base, reinforcing Hardwyn's strategy of high-frequency investor engagement to maintain high valuation multiples.
