The ₹2,094 crore raised by selling ~7% of TVS Motor in FY22 and the ₹317 crore paid for the loss-making US factory's remaining 50% were both booked in the pre-demerger entity that became TVS Holdings. The new Sundaram-Clayton did not exist when the stake was sold, so it never saw those proceeds — this is the mechanical source of the 'unequal inheritances'.
TVS Holdings' FY26 consolidated revenue of ₹58,154.5 crore splits into ₹48,909.7 crore autos and ₹9,518.69 crore financial services. The Home Credit India stake (80.74%, ₹526.79 crore infused in Q4 FY26) gives the group a captive-finance channel that boosts two-wheeler affordability — a synergy a standalone component maker cannot replicate.
TVS Holdings raised ₹650 crore of NCDs in March 2026 at an AA+ Stable rating and carries 4.88x consolidated net debt to equity (down from 5.93x). That leverage is lending-book leverage against a high-growth asset — capital-access capacity that Sundaram-Clayton, at 1.23x debt to equity, simply does not have.
