
The Securities and Exchange Board of India has issued observation letters to draft documents of three IPO proposals including Neolite ZKW Lightings Ltd., Aspri Spirits Ltd., and SS Retail Ltd. According to reports from Moneycontrol, SEBI issued observations on Aspri Spirits on May 6, while observations on Neolite ZKW Lightings and SS Retail IPO draft papers were issued on May 14. The issuance of observations on draft papers means these companies can now file their Red Herring Prospectus with the Registrar of Companies for launching IPO within the next one year. All three companies had filed their IPO draft papers with the capital markets regulator in December 2025.
Neolite ZKW Lightings is a manufacturer and global supplier of automotive lighting products and components for OEMs, backed by LG Electronics subsidiary ZKW Group GmbH. The company's initial public offering aggregates up to ₹600 crore and comprises a fresh issue of equity shares aggregating up to ₹400 crore by the company and an offer for sale of equity shares aggregating up to ₹200 crore. The shareholders looking to offload stake are Rajesh Jain, Neokraft Global Pvt., and ZKW Group GmbH. As per The Economic Times, the company was founded in 1992 and serves more than 40 OEM customers offering over 830 product SKUs, including EV-focused lighting solutions. According to a Crisil report cited by the company, it held a 34.43% market share in India's commercial vehicle lighting segment in FY25.
According to the draft red herring prospectus reported by Moneycontrol, the net proceeds from the fresh issue are proposed to be utilized towards setting up a new greenfield manufacturing facility at Kancheepuram, Tamil Nadu, amounting to ₹152.51 crore and purchase of plant and machinery, SMT lines and testing equipment for electronic expansion at existing manufacturing facilities amounting to ₹79.08 crore. The proceeds will also be used for repayment and/or pre-payment of certain outstanding borrowings aggregating to ₹65 crore. The company has a long-standing strategic alliance with Austria-based ZKW Group, which became a subsidiary of LG Electronics in 2018. As of October 2025, the company serves major customers including Tata Motors, JSW MG Motor India, Daimler India Commercial Vehicles, Piaggio Vehicles and JCB India.
Aspri Spirits, an alco-beverage distribution entity founded by Jaikishan Sham Matai and Arunkumar Venkat Bangalore, is looking to raise funds through an initial public offering comprising a fresh issue of shares worth ₹140 crore. As reported by Moneycontrol, apart from the fresh issue of shares, there will be an offer for sale (OFS) of 50 lakh shares by promoters and other shareholders such as Emerald Electronics and Whiteline Impex. The company operates in the premium and luxury alcoholic beverages segment and is known for importing, marketing and distributing international wine and spirit brands in India. According to The Economic Times, Motilal Oswal is acting as the book-running lead manager for the issue, while Bigshare Services is the registrar.
SS Retail, a mobile retail company, is looking to raise ₹500 crore through its initial public offering. According to the draft red herring prospectus reported by Moneycontrol, the company's maiden public offering will be a combination of fresh issue of shares worth ₹300 crore, along with an offer for sale of ₹200 crore by promoters and other shareholders. The company operates a multi-brand retail chain focused on mobile phones, accessories and consumer electronics across Maharashtra, Karnataka, Madhya Pradesh and Goa. As reported by The Economic Times, the retailer serves customers across metro, tier-I, tier-II and smaller cities and has positioned itself as a regional organised retail player in the fast-growing consumer electronics and smartphone market. The company intends to spend ₹12.4 crore of fresh issue proceeds for setting up of new stores, ₹201.5 crore for incremental working capital requirements, and the remainder funds for general corporate purposes.
