Real estate consultancy firm Anarock Property Consultants Ltd has filed draft papers with capital markets regulator Sebi to raise ₹1,000 crore through an Initial Public Offering (IPO). According to the Draft Red Herring Prospectus (DRHP) filed on September 30, 2026, the proposed IPO comprises a fresh issue of equity shares aggregating up to ₹550 crore and an Offer For Sale (OFS) of up to ₹450 crore. The company may also consider a pre-IPO placement of up to ₹110 crore, with the fresh issue size being reduced accordingly if such placement is completed. Under the OFS, promoter selling shareholders Peter Properties Ltd and Khushi Trust, along with investors including various funds managed by 360 ONE, Om Sai Trust and Colared Consultants and Traders LLP, will offload shares. As per Business Standard, the company, in consultation with the book-running lead managers, may consider this pre-IPO placement before filing the red herring prospectus with the Registrar of Companies.
The company has outlined specific plans for deploying IPO proceeds across multiple technology and business expansion initiatives. As reported in the DRHP, Anarock proposes to invest ₹80 crore in AI augmentation and technology specifically for its transaction advisory business, while ₹25 crore will be allocated for technology solutions through Anarock Channel Partner and ₹15 crore for technology solutions through Anacity, its subsidiary. The company plans to deploy the proceeds from the fresh issue towards organic and inorganic growth, including investments in artificial intelligence (AI) augmentation and technology. Anarock operates four businesses across the real estate value chain: transaction advisory, leasing and investment advisory, management services, and technology solutions. According to Business Standard, the company plans to use the IPO proceeds to fund organic growth, including an investment of around ₹120 crore in artificial intelligence (AI) augmentation and technology, and for general corporate purposes.
A significant portion of the IPO proceeds will be directed toward strategic acquisitions and business expansion. According to the prospectus, the company has earmarked ₹148 crore for funding the DSP Acquisition, specifically for acquiring the remaining equity share capital, excluding the ESOP pool, of subsidiary DSP Design Associates. The acquisition significantly increases Anarock's revenue base, with proforma financial information showing that revenue would have been ₹1,123.87 crore, about 27% higher than the reported ₹881.90 crore, while net profit would have been ₹100.07 crore, only about 7% higher than the reported ₹93.22 crore. The combined net profit margin would have been 8.90% compared with Anarock's reported margin of 10.57%. Additionally, ₹89.5 crore will be allocated for strengthening existing businesses and adding new specialised services through talent augmentation, as per the DRHP. This follows Anarock's recent acquisition of a 53.68% stake in multidisciplinary architecture, master planning and interior design firm DSP Design Associates for ₹64.01 crore on September 27, 2026, just three days before filing IPO papers.
The company has demonstrated robust financial growth with consolidated revenue from operations of ₹881.90 crore for FY26, advancing around 34% year-on-year compared to ₹658.95 crore reported in FY25. Anarock reported a restated consolidated profit of ₹93.22 crore for FY26, representing a 53% increase from ₹60.78 crore in the previous year. However, the company faced cash flow challenges as operating cash flow swung to an outflow of ₹12.07 crore in FY26 from an inflow of about ₹93 crore in FY25. According to the DRHP, trade receivables increased by about ₹148 crore during the year to ₹464.21 crore from ₹316 crore a year earlier, with the company attributing this partly to growth in revenue and timing of revenue recognition. The transaction advisory business, which primarily includes residential property sales, generated ₹442.45 crore in revenue in FY26, while leasing and investment advisory contributed ₹306.83 crore and management services generated ₹89.17 crore. As of March 31, 2026, the company had 2,192 permanent employees and operated across 15 cities in India, along with operations in the Middle East.
The IPO faces several key risks including sector cyclicality of the real estate market, revenue concentration from four major clients, delays in transactions and contracts, and channel-partner dependency. Additional risks include risks pertaining to DSP Design Acquisition, increasing reliance on artificial intelligence, third-party technology dependence, and interruption in statutory and regulatory permits that may affect the company's cash flow. The company will be managed by ICICI Securities, IIFL Capital Services and 360 ONE WAM as book-running lead managers, while KFin Technologies will serve as the registrar to the offer. The equity shares proposed through the IPO are expected to be listed on both the BSE and NSE exchanges. The Anarock Group currently operates with approximately 2,300 employees across key tier-1 and tier-2 markets in India and the Middle East. Despite the strong financial performance, the sharp deterioration in operating cash flow despite higher profits makes Anarock's ability to convert earnings into cash an important metric to watch ahead of the IPO.
