SEBI Chairman Tuhin Kanta Pandey confirmed on Saturday that the market regulator is monitoring developments relating to governance at the holding company level in the Tata Group. According to reports from The Hindu BusinessLine, Business Standard, and The Times of India, Pandey stated that while there are issues at the holding company level as it's not a listed entity, all other listed companies follow all LODR (Listing Obligations and Disclosure Requirements) norms. The SEBI chief emphasized that listed companies and their promoters are subject to all SEBI norms, though he did not refer to any specific governance violation or regulatory action against the group. As reported by The Times of India, Pandey told reporters on the sidelines of the launch of the Bharat Chamber Investors Forum that "Yes... I mean in the sense of, you know, we have to keep monitoring all the developments."
The regulator's monitoring comes amid differences over governance matters at Tata Sons, the group's holding company, including the reappointment of N Chandrasekaran as chairman and the question of its proposed listing. As reported by The Hindu BusinessLine, Business Standard, and The Times of India, these issues have raised questions about the holding company's leadership structure and potential public listing plans. The comments were made during the launch of the Bharat Chamber Investors Forum in Kolkata, where Pandey addressed questions about SEBI's oversight of the Tata Group's developments. According to The Times of India, Pandey noted that "At the holding company level, there are some issues, as that's not really a listed company. The rest of the companies, those which are listed, follow all the LODR norms."
The Tata Group comprises 26 publicly listed companies with a combined market capitalisation of USD 328 billion as of March 31, 2025, according to its FY25 annual report. According to analysis by governance advisory firm InGovern, seven listed companies collectively hold around 11.92% in Tata Sons. The seven companies include Tata Steel, Tata Motors Passenger Vehicles, Tata Chemicals, Tata Power, Indian Hotels, Tata Consumer Products and Tata Investment Corporation, representing over 1.77 crore shareholder or folio accounts. As reported by Business Standard, these companies are part of the group's larger portfolio of 26 listed entities and represent only those firms identified in the analysis as holding a stake in Tata Sons.
Tata Trusts holds around 66% stake in Tata Sons, while the Shapoorji Pallonji Group holds approximately 18.4%. As reported by The Hindu BusinessLine, Business Standard, and The Times of India, this ownership structure places the majority control with the trusts and the Shapoorji Pallonji Group, while the seven listed companies represent a significant minority holding. The ownership breakdown highlights the complex corporate structure within the Tata Group, with the holding company maintaining substantial control despite having no direct listing on stock exchanges.
