
Promoter group entity Twin Star Holdings executed a significant block deal on Tuesday, selling 6.51 crore shares representing 1.8 percent of Vedanta Ltd's outstanding equity. According to latest exchange data, the transaction was completed at an average price of ₹291.36 per share, bringing the total transaction value to ₹1,895.97 crore. The floor price for the transaction was set at ₹291 per share, reflecting a 4.9 percent discount to Monday's closing price of ₹305.85. As per The Financial Express, Twin Star Holdings is a noted offshore holding company and the largest promoter shareholder of Vedanta, ultimately controlled by Volcan Investments. The proposed transaction is reported to include a 90-day lock-up period on Twin Star Holdings' remaining stake in the company.
The ₹1,896 crore stake sale forms part of Vedanta Group's broader effort to accelerate deleveraging at the holding-company level following the planned demerger of Vedanta's businesses. According to sources familiar with the matter, the group is now looking at accelerated deleveraging at the holding-company level with five listed entities and different capital structures. Vedanta Resources Ltd is targeting a consolidated refinancing of its remaining holding-company debt rather than pursuing a series of smaller liability-management exercises. The strategy would replace large bullet repayments with amortising debt structures designed to spread repayments over longer periods and better align them with operating cash flows. Following the sale, Twin Star Holdings continues to hold about 40 percent of Vedanta Ltd, while the overall promoter group ownership remains around 56 percent of the company. The latest transaction comes as investors continue to closely track debt levels at Vedanta Resources, which has spent the last several years reducing leverage and refinancing liabilities.
Despite the recent stake sale, Vedanta delivered exceptional financial results in Q4FY26, with consolidated net profit jumping 89% year-on-year to ₹9,352 crore, marking its highest-ever quarterly profit. As per The Financial Express, the company's consolidated revenue surged 29% YoY to ₹51,524 crore in Q4FY26, while EBITDA advanced 59% to a record ₹18,447 crore. EBITDA margins expanded sharply to almost 44%, up over 900 basis points from a year ago. The stellar performance came ahead of the group's planned demerger, which took effect on May 01. This strong financial performance provides a solid foundation for the company's continued deleveraging efforts and strategic restructuring initiatives.
The stock fell 9 percent from its intraday high of ₹279 on the BSE after over 109.2 million equity shares representing nearly 3 percent of total equity changed hands on the NSE in the first 25 minutes of Tuesday trading. According to exchange data, a combined 116 million equity shares changed hands across both NSE and BSE. As per Business Standard, the decline followed media speculation that promoter entity Twin Star Holdings likely reduced its stake through the substantial block deal. Despite Tuesday's decline, Vedanta shares remain above their ex-demerger closing price of ₹271.55 recorded on April 30, when the stock began trading without the value of the spun-off businesses. Prior to the demerger adjustment, Vedanta had closed at ₹773.6 on April 29. The stock has also shown volatility with Vedanta shares falling 5.3% in the last five trading sessions and dropping more than 15% in the last one month post-demerger, though it has delivered a 29.33% return in the past six months and 74% advance over the previous 12 months.
The stock has turned technically weak after breaking below key support levels and its 100-day EMA, currently placed at ₹284. According to The Economic Times, the RSI is trending lower, reflecting bearish momentum, while the MACD has slipped below the zero line, further reinforcing the negative bias. Pravesh Gour, Senior Technical Analyst at Swastika Investmart, noted that the stock is currently exhibiting a weak technical structure, having broken below the crucial support zone of ₹288-290. The stock is trading below its 20-day and 50-day moving averages, indicating that short-term momentum has turned negative. Immediate support is placed near ₹279-280 around SMA-100, and a decisive breach below this level could open the door for further downside towards ₹270-260. On the upside, the stock needs to reclaim and sustain above ₹290-295 to ease the current selling pressure, while a move above ₹300-308 would be required to revive bullish sentiment.
