The National Stock Exchange of India has barred Yes Securities (India) Ltd. from onboarding new clients for a period of three months after finding violations related to margin collection norms and penalty recovery practices. According to the NSE's circular, the action was taken by the NSE Member and Core Settlement Guarantee Fund Committee on May 26, 2026. The brokerage failed to maintain the required upfront margins in multiple instances and subsequently passed on the penalties imposed by the clearing corporation to its clients. The exchange observed that such practices violated regulatory norms designed to ensure proper broker conduct and protect investor interests. The disciplinary action comes amid heightened scrutiny by stock exchanges and market regulators over margin compliance following stricter risk management rules introduced in recent years.
NSE's inspection of Yes Securities for the period between January 2025 and March 2025 revealed serious compliance failures. The exchange found that the brokerage had recovered margin shortfall and upfront margin-related penalties directly from clients in 211 instances involving 48 clients, with a total amount of approximately ₹18.31 lakh. Under exchange regulations, brokers are required to collect adequate upfront margins from clients before executing trades, and penalties imposed on brokers for margin shortfalls are not permitted to be passed on to clients. The NSE imposed a monetary penalty of ₹1 lakh on the company and directed it to refund the recovered amounts to affected clients within 15 days. This penalty represents a significant increase from the earlier ₹1 lakh fine imposed for similar violations. The disciplinary committee further noted that Yes Securities transferred margin-related penalties levied by the clearing house to customers instead of absorbing the costs itself, which is contrary to exchanges' expectations of maintaining margin discipline without unfairly burdening clients.
The latest action represents a continuation of Yes Securities' non-compliance issues, as the company had previously failed to comply with earlier directives. In December 2024, the committee had directed the brokerage to refund approximately ₹9.45 lakh collected from clients across 30 instances. However, the latest inspection found that the firm had not fully complied with those directions and had continued similar practices during the subsequent period. The NSE committee described the conduct as a pattern of continued defiance and non-compliance, emphasizing that this was not the first instance of regulatory violations. The disciplinary action reflects the exchange's commitment to maintaining strict adherence to margin compliance standards across all trading members.
Under the latest order, the three-month restriction on onboarding new clients will come into effect after the expiry of the appeal period or after disposal of any appeal filed by the company. Yes Securities has been directed to refund all improperly collected amounts within 15 days and submit proof of compliance along with an auditor's certificate. During the hearing, the company argued that peak margin penalties and upfront margin penalties are distinct concepts, claiming only peak margin-related penalties were passed on to clients and stating it had sought clarification from the Securities and Exchange Board of India. However, the NSE committee rejected this argument, stating that peak margin requirements are part of the broader upfront margin framework and that the rules had therefore been violated. The exchange emphasized that exchanges generally hold trading members responsible for maintaining margin discipline, and brokers are expected to comply with these obligations without unfairly burdening clients.
In a separate development, the NSE announced the exclusion of Exide Industries and Nuvama Wealth Management from the derivatives segment starting July 29, 2026. The exchange clarified that all existing unexpired contracts for May 2026, June 2026 and July 2026 expiry cycles will continue to remain available for trading until their respective expiry dates. New strike prices will also continue to be introduced in the existing contract months, ensuring smooth transition for existing positions. This announcement was made alongside the Yes Securities disciplinary action, demonstrating the exchange's comprehensive approach to maintaining market integrity across multiple segments.
