Strategy Inc. (NASDAQ: MSTR) announced that its Board of Directors approved a proposal on September 24, 2026, to amend the certificates of designations governing four series of its preferred stock: STRF, STRC, STRK, and STRD. The company has now scheduled a special shareholder meeting for October 28, 2026, at 10 a.m. Eastern Time to seek approval for the daily dividend payments. Common shareholders who held eligible Strategy shares at the close of business on September 25 are entitled to vote on the proposals, with the record date set for September 25, 2026. The board has recommended that shareholders vote for the dividend amendment, with the company expecting to file its definitive proxy statement around October 5, when voting is scheduled to open.
As reported by Strategy, STRC currently pays a 12% annual dividend on its $100 stated value, meaning investors holding one $100 share would receive approximately ₹12 annually at the current rate. The proposed daily dividends would spread this same income across smaller, more frequent payments, similar to receiving part of a monthly salary every working day instead of one larger payment at month-end. This change could make STRC more attractive to investors focused on regular income while potentially supporting liquidity and price stability. The company expects this proposal to strengthen preferred securities and create competitive advantage, with increased demand potentially driving Amplification and Bitcoin Per Share. STRC would move from 24 record dates a year to 365, or 366 in leap years, while STRF, STRK, and STRD would shift from four quarterly record dates to daily accruals, meaning dividends would accrue about 15 times more frequently for STRC and 90 times more frequently for the other three preferreds.
If shareholders approve the proposal, STRC would be the first security to move to the new daily schedule, with STRC's first daily-schedule payment expected on November 2, 2026, for holders of record on November 1, 2026. STRF, STRK, and STRD would remain on their quarterly schedules through December 2026, with their first daily-schedule payments expected January 4, 2027, for holders of record on January 1, January 2, and January 3, 2027 respectively. Under the proposed amendment, each calendar day would become a dividend record date, with payment following on the next business day if declared, including amounts accrued during weekends and holidays. The company emphasizes that every payment remains subject to declaration by its board or an authorized committee and to legally available funds, with shareholder approval by itself not declaring any future dividend.
STRC currently pays a 12% annual dividend on its $100 stated value, while STRF carries a 10% fixed annual dividend rate, STRK pays 8%, and STRD pays 10%. STRC has maintained its variable rate at 12% for semi-monthly periods beginning after September 16, with the company's STRC dividend history showing two payments for both July and August at $0.50 per share each based on the current 12% annual rate. STRC moved to record dates on the 15th and final day of each month after shareholders approved semi-monthly dividends at the June 8 annual meeting, replacing the previous monthly schedule. STRC was trading at $98.54 after a hike of 0.23% in the past trading session, while MSTR was trading at $158.61 after a drop of 1.86% during the same period, as reported by AMBCrypto. Strategy's Bitcoin holdings have reached around 846,000 BTC, with roughly $10 billion in unrealized losses to about $8 billion in gains.
