Grayscale announced its partnership with Republic to offer three crypto investment products with a $2,500 minimum investment. According to the latest announcement, the initial products include the Grayscale DeFi Fund (DEFG), Grayscale Decentralized AI Fund, and Grayscale Data Network Trust. Through this arrangement, eligible participants can gain exposure to underlying digital assets without purchasing, storing, or safeguarding the tokens themselves. As reported by Republic, the partnership provides early access to fund life cycles, traditionally limited to institutional investors, at a minimum investment of just $2,500. The partnership marks the latest step in Grayscale's ongoing efforts to broaden investor access to digital assets and provide more ways to gain exposure to emerging areas of the digital asset ecosystem.
For American participants, the offering operates under Rule 506(c) of Regulation D, with access restricted to accredited investors whose status must be verified. According to Republic's disclosures, individuals can qualify through a net worth exceeding $1 million (excluding primary residence) or more than $200,000 individually or $300,000 with a spouse or partner in each of the previous two years. Alternative qualification routes include professional credentials such as Series 7, Series 65, or Series 82 licenses, or knowledgeable employees investing in private funds. For entities, qualifying categories include organizations with assets exceeding $5 million and entities whose equity owners are all accredited investors. The shares are not registered under the Securities Act of 1933 or the Investment Company Act of 1940, and are offered in concurrent private placements under Rule 506(c) to accredited investors only and under Regulation S to non-U.S. persons in offshore transactions.
The Grayscale DeFi Fund holds a market-cap-weighted basket of six protocols supporting financial services including lending, trading, and asset management. According to Republic's fund page, the holdings include Uniswap (UNI) at 35.22%, Aave (AAVE) at 21.36%, Ondo (ONDO) at 19.83%, Ethena (ENA) at 13.59%, Curve (CRV) at 5.27%, and Lido DAO (LDO) at 4.73%. The fund's holdings cover three distinct parts of the DeFi stack: UNI (Uniswap's governance token) represents exchange infrastructure, AAVE covers lending, and ONDO covers tokenized real-world assets. CRV adds stablecoin liquidity, LDO adds liquid staking, and ENA adds synthetic dollar exposure. Earlier portfolio changes documented in May 2025 removed Aerodrome Finance's AERO token and added Ethena, with subsequent adjustments reducing UNI's position to 34.16% as of August 2025. The fund represents exposure to the expanding decentralized finance ecosystem through its diversified protocol holdings.
The Grayscale Decentralized AI Fund provides exposure to blockchain protocols involved in computing, storage, and AI services, holding NEAR Protocol (NEAR) at 31.35%, Bittensor at 29.15%, Render at 21.59%, and Filecoin at 17.91%. The Grayscale Data Network Trust targets the DATA token of a blockchain designed for sourcing, verifying, and licensing information used to train AI models. According to Grayscale's announcement, the trust maintains an onchain record covering data origins, licensing conditions, and compensation for contributors and rights holders. The AI Fund maps roughly to the supply chain of decentralized machine learning: FIL provides decentralized storage, NEAR and TAO sit on the compute-and-coordination layer, and RENDER handles decentralized GPU rendering. Together they cover data storage, compute, model training coordination, and inference. The DATA Network Trust filed as a Delaware business trust in 2025, claiming a Rule 506(c) exemption with its first sale date on July 28, 2025.
Under the offering terms published on Republic, the shares are restricted securities with substantial limits on resale and transfer, and investors cannot redeem them through the products. According to Republic's disclosures, the private placements are speculative and illiquid, with investors facing the possibility of losing their entire investment. The platform warns that shares are not registered under the Securities Act of 1933 or the Investment Company Act of 1940, and neither the SEC nor federal or state securities regulators have recommended or approved the investment opportunities. Digital assets held by the products face custody, protocol, cybersecurity, and regulatory risks, with investments not FDIC-insured and applicable SIPC protection not covering falling investment values. These thematic bets on crypto sub-sectors represent a significant advantage for retail investors, as most would struggle to assemble these diversified baskets themselves without accounts on multiple exchanges, several wallets, and hours spent reading governance proposals. The initial market reaction was muted, with modest social media engagement on the announcement.
