
According to latest reports, Bitget Exchange is set to announce its second IPO Prime offering tonight at 18:00 UTC, with on-chain data indicating a potential link to OpenAI. The preOPAI token was minted on the Solana blockchain by Republic on May 7, with the first batch of 29,082 tokens transferred to the project team's custodial account. The top-level instruction for the minting process was "Mint_securities," and the program invoked was Republic's Access Token issuance program. This aligns with the structure used for the first IPO Prime offering, preSPAX, which was also a collaboration between Bitget and Republic. The second offering follows Bitget's broader initiative to provide retail investors with tokenized exposure to pre-IPO companies, allowing users to subscribe using stablecoins with allocations determined based on demand.
The Bitget IPO Prime platform operates on a subscription window model, with no minimum beyond 100 USDT and no accredited investor requirement. Unlike conventional pre-IPO participation, which often involves substantial minimum commitments and cost structures including management fees, carried interest, and custodial charges, Bitget IPO Prime carries no subscription fees, no annual management fees, no carried interest, and no custodial charges. Individual subscription limits scale with each user's Bitget VIP level, with caps ranging from $1,000 for VIP0 users to $300,000 at higher tiers, against a total commitment cap. Once the subscription window closes, pre-IPO tokens are listed directly on Bitget's spot market, with each token carrying 1:1 economic rights to its underlying company, providing holders with live, continuous read on their position value.
Six months after the underlying company completes its IPO, once the lock-up period on the underlying debt asset expires, the issuer will instruct Bitget to convert holdings into either stock tokens or USDT, based on the underlying company's market price at that time. The 1:1 peg holds through to that conversion, with specific terms governed by the subscription agreement signed at participation. If the company does not complete a qualifying event within the period defined in the subscription agreement, a backup redemption mechanism activates according to the terms of that agreement. This formal exit pathway accounts for the possibility and provides holders with recourse, unlike traditional pre-IPO structures that typically involve illiquid positions until a qualifying exit event occurs.
