
FY27 has already witnessed significant OFS activity including transactions in Coal India, NHPC, General Insurance Corporation, Central Bank of India, Indian Railway Finance Corporation, and LIC. The government is now preparing for the next wave of stake sales in four public sector undertakings: Hindustan Zinc, Hindustan Copper, Mazagon Dock Shipbuilders (MDL), and IRCTC.
Hindustan Zinc and Hindustan Copper are definitely among the priority companies for OFS execution. These two transactions need to be taken up on priority, and merchant bankers have already been appointed. The move follows a flurry of banker appointments—five in the past month alone—covering all four companies, suggesting the government is lining up a larger set of stake sales.

Hindustan Zinc's superior liquidity profile enables larger stake sales with minimal market disruption. The company's daily trading volume of 75.85 lakh shares translates to ~₹443 crore in value traded daily. This liquidity advantage allows Hindustan Zinc to absorb a ₹3,705 crore OFS more easily than smaller market cap companies can absorb proportionally larger transactions.
The trade-offs in determining optimal stake sale percentages reflect this market cap reality. For Hindustan Zinc, a smaller percentage (1.5%) makes sense because it still generates substantial proceeds while maintaining government influence and allowing for multiple future transactions. For Hindustan Copper, MDL, and IRCTC, larger percentages (5% each) are necessary to achieve meaningful monetization given their smaller market caps, though this comes with higher market impact risk.
Prevailing market conditions have been favorable for disinvestment execution. The Indian market has demonstrated remarkable resilience in 2026, driven primarily by strong domestic institutional investor support.

The successful LIC OFS execution in August 2026 provides a valuable blueprint for upcoming transactions. The government sold up to 6.5% stake at a floor price of ₹382 per share, nearly 10.9% below the previous close of ₹428.50. Institutional bids of 94.45 crore shares at ₹383.84 per share indicated robust demand. This experience validates the government's approach of using attractive discounts (8-12%) to ensure subscription while maintaining reasonable valuations.
Sector-specific factors will influence pricing and demand. Hindustan Zinc benefits from zinc prices near cycle highs, creating optimal timing before anticipated 2027 price declines. Hindustan Copper's stretched valuations (P/E 42.68 vs sector 20.82) may require deeper discounts, though the structural electrification theme provides strong long-term demand. Mazagon Dock's defense sector re-rating supports premium valuations, while IRCTC's recent underperformance (-29% 1-year) may require deeper discounts despite strong fundamentals.
With ₹61,638.61 crore already mobilized (77% of target), the upcoming OFS transactions are estimated to contribute an additional ₹13,564 crore, bringing total achievement to 82.9% of the annual target.

The pace of OFS execution affects fiscal deficit management. A moderate execution pace (2 OFS in H2 2026, 2 in Q1 2027) offers the best balance between fiscal requirements and market conditions, providing consistent cash flows while minimizing market disruption.
The reduction in government shareholding through OFS will gradually improve governance quality across these PSUs. Higher public shareholding typically correlates with enhanced transparency, increased board independence, and greater market discipline. However, the pace of change will vary based on remaining government influence.
For Hindustan Zinc, where Vedanta holds 60.71% and the government's stake will reduce from 27.92% to 26.42%, the impact on strategic decision-making will be minimal as Vedanta remains the controlling promoter.
