
Shares of UPL Ltd. declined as much as 10% to ₹677 on Monday, February 23, following the company's restructuring announcement. The stock decline came after brokerage firm Nuvama Institutional Equities downgraded the stock to 'Hold' from a previous rating. According to Kotak Neo, Nuvama cited the recent run-up in the stock price, unresolved leverage concerns and potential post-restructuring dilution as key reasons for the downgrade. The brokerage has set a revised price target of ₹816 per share following the company's restructuring announcement. As per Kotak Neo, the stock is currently valued at 9.5x FY26E and 7.7x FY27E EV/EBITDA, indicating a moderation in forward valuation multiples.
Agrochemical major UPL Limited has unveiled a major restructuring plan aimed at unlocking value and sharpening its strategic focus. According to reports from ET Now, Chairman and Group CEO Jai Shroff, along with Group COO Toshan Tamhane, outlined the rationale behind the demerger, stating that the move will allow each business vertical to operate with greater agility and independence. The restructuring is designed to provide operating flexibility to each unit, enabling faster decision-making, focused capital allocation, and accelerated growth. The scheme was approved on February 20, 2026 and consolidates domestic and international crop protection operations under one platform.
Under the new structure, UPL will create the world's second-largest listed pure-play crop protection platform as reported by CNBCTV18.com. The company will operate through Crop Protection (UPL Global Sustainable Agri Solutions), Seeds (Advanta), and Specialty Chemicals. According to Shroff, each of these platforms is already a strong player in its respective segment, both in India and globally. The restructuring will integrate UPL's domestic and international crop protection businesses under UPL Global, positioning it as a focused and integrated crop protection player with an independent management structure and greater flexibility to raise capital.
The restructuring will result in significant debt distribution across the two entities. As per Kotak Neo, UPL Global is projected to carry net debt of ₹190 billion post-reorganisation, while the standalone business is expected to hold net debt of ₹32 billion. Despite the restructuring being positioned as cash and tax neutral, the overall debt quantum remains largely unchanged. Analysts expect deleveraging to depend on operating cash flows and working capital discipline rather than structural changes alone. The company's debt-to-EBITDA ratio, which stood at 4.2 two years ago, has now been reduced to the 1.6–1.8 range according to ET Now. Management emphasised that the reorganisation does not change leverage at a group level.
From a technical perspective, UPL shares are trading below all eight of its simple moving averages, signalling a bearish technical trend. The daily RSI (14) stands at 53.0, indicating neither overbought nor oversold conditions. The sharp single-day fall also reflects profit booking after the recent rally in the stock. Investors are focusing on two key factors after the demerger: whether cash flow delivery and working capital management improve, and whether UPL Global can restore its balance sheet strength to enable continuous re-evaluation in upcoming quarters. While management emphasised that the reorganisation does not change minority shareholder rights or the group's capital structure, the market reaction suggests investors are waiting for clearer visibility on debt reduction and cash flow improvement.
Management believes the sharper strategic focus will help each platform grow faster than under the earlier consolidated structure, as reported by ET Now.
