TVS Motor Company has approved the acquisition of a 4.9% stake in Jana Small Finance Bank for ₹193.31 crore in an all-cash transaction as part of the TVS Venu group's expansion into India's financial services sector. According to the latest exchange filing, the Investment Committee of the Board approved the decision on May 18, 2026, and the transaction involves the purchase of 51,60,903 equity shares representing 4.90% of the bank's paid-up share capital as on May 18, 2026. The filing was submitted to both the BSE Limited and National Stock Exchange of India Limited in compliance with Securities and Exchange Board of India Regulation 30 disclosure norms, with the transaction expected to close within three months, subject to customary conditions. The broader transaction structure, announced under the TVS VENU platform, envisions a combined equity ownership of up to 9.9% on a fully diluted basis, including the 4.9% stake being acquired by TVS Motor via secondary purchase from Jana Holdings, and an additional component involving GWC Family Fund Investments Pte. Ltd., a promoter group entity, which proposes to subscribe to 68,29,909 share warrants of Jana, pending receipt of applicable regulatory approvals including the Reserve Bank of India's clearance.
The investment represents part of TVS Venu's broader financial services ambitions, with the group planning to acquire up to 9.9% ownership in Jana Small Finance Bank on a fully diluted basis through a combination of primary warrant subscription and secondary share purchase. As reported by The Hindu BusinessLine, this follows the group's agreement to acquire a 100% stake in PGIM India Asset Management. TVS already operates lending businesses through TVS Credit Services, one of India's leading NBFCs with a diverse product range spanning two-wheeler loans, consumer durable financing, tractor loans, and used vehicle financing. The company clarified that the deal does not qualify as a related party transaction, though GWC Family Fund Investments Pte. Ltd., controlled by a promoter group member, may subscribe to share warrants in Jana Small Finance Bank subject to approvals including from the Reserve Bank of India. With approximately USD 6.5 billion in FY26 revenue and over 64,000 employees representing 50+ nationalities, TVS VENU operates across 90+ countries and holds marquee assets including Norton Motorcycles in the UK and TVS Emerald in Indian real estate.

As corporations look to profit from India's growing credit ecosystem and growing demand for digital-first financial solutions, the acquisition demonstrates the growing convergence between industrial conglomerates and financial services. The acquisition aims to strengthen participation in India's expanding credit, savings and investment growth opportunity, signaling the group's growing focus on India's financial services sector. Sudarshan Venu, Chairman of TVS Motor Company, said the investment reflects TVS VENU's long-term approach to supporting institutions that serve India's growing financial needs and its digital financial ecosystem. The group currently serves over 44 million financial services customers across more than 100,000 touch points pan-India.
