Tata Consumer Products Ltd has achieved a significant milestone in its acquisition strategy, raising its stake in Capital Foods Private Limited to 80% through the purchase of an additional 5% stake for ₹5,100 crore. According to the latest exchange filing, the transaction was completed on September 1, 2026, when TCPL acquired the residual stake held by Wildflower Private Trust. The deal gives TCPL control of 27,95,533 equity shares of ₹10 each, representing 80% of the paid-up equity share capital of Capital Foods. This latest development marks another step towards the company's previously announced plan to acquire as much as 100% of Capital Foods announced in January 2024.
The acquisition of the additional 5% stake represents a significant step in Tata Consumer Products' previously announced plan to acquire as much as 100% of Capital Foods. As per the company's earlier announcement, TCPL plans to acquire the remaining 25% stake within three years of completing the initial transaction. This phased acquisition approach allows the company to gradually increase its ownership of the business while integrating and developing the acquired operations. The company had initially acquired 75% of Capital Foods' paid-up equity share capital in the first phase, with the latest 5% purchase increasing ownership from 75% to 80%, leaving the balance stake to be acquired in line with the earlier transaction structure.
Capital Foods is the company behind popular food brands including Ching's Secret and Smith & Jones. The company has an established presence in India's packaged food market, with its portfolio and distribution network expected to complement TCPL's existing consumer brands. This acquisition positions Tata Consumer Products closer to full ownership of the company that manufactures these well-known food products, reflecting the company's expansion into the food brands segment. The transaction is expected to significantly enhance TCPL's market presence, particularly leveraging Capital Foods' strong brands and distribution network.
Tata Consumer Products shares closed at ₹1,027.20 on September 1, declining 0.99% during Tuesday's trading session following the announcement of the additional stake acquisition. The stock movement occurred amid broader market weakness, with the benchmark Nifty 50 index falling 104.40 points (0.43%) to 23,976.00. The market reaction reflects investor response to the company's continued expansion strategy and the strategic move into the branded food and beverage sector, with the latest transaction marking another step towards TCPL's goal of complete ownership of Capital Foods.
