RCF has received shareholder approval to proceed with its ₹1,500 crore fundraising through a Fresh Issue of Shares and Offer for Sale (FPO). The approval was granted at the company's 48th Annual General Meeting held on September 25, 2026, through special resolutions, according to a disclosure under Regulation 30 of the SEBI Listing Obligations and Disclosure Requirements (SEBI LODR) Regulations. The company's board has now formally approved the fundraising plan following the shareholder consent, with the FPO structure including both fresh equity issuance and an offer for sale component.
The ₹1,500 crore fundraising will be executed through a combination of Fresh Issue of Shares and an Offer for Sale component. As reported by ET Now, this dual approach allows the company to access both new capital from fresh equity issuance and existing shareholder liquidity through the offer for sale mechanism. The proposed fundraising is subject to receiving the required approvals from the Department of Fertilizers, Government of India, and the Department of Investment and Public Asset Management (DIPAM). The company stated in its exchange filing that the fundraising will move forward only after obtaining these necessary government approvals.
RCF has reported decent results for the first quarter of the 2026-27 financial year, marking a significant turnaround from the previous year. The company posted a net profit of ₹73.53 crore for the quarter ended June 2026, representing a substantial improvement compared to a loss of ₹54.43 crore in the corresponding quarter of the previous year. Revenue from operations stood at ₹3,585.71 crore, reflecting a 6.38% increase from the approximately ₹3,370 crore recorded in the same quarter of the previous fiscal year. This strong quarterly performance provides a solid foundation for the company's ambitious capital expansion plans.
RCF's stock closed at ₹108.82 on Friday, marking a gain of 0.39% for the trading session. However, the stock has witnessed a decline of approximately 24.30% over the past year, indicating some volatility in investor sentiment. The approval of this substantial fundraising plan positions RCF for significant capital expansion, with the ₹1,500 crore fundraising representing a major capital infusion that could support the company's growth initiatives and strategic objectives. Market attention will now focus on the government approval process and subsequent steps related to the FPO implementation.
