According to Business Standard, this transaction marks a strategic inflection point for the company to become a fully integrated technology solutions and services player.
As reported by Business Standard, VDA Infosolutions, incorporated in 2010 and based in Mumbai, operates in enterprise technology and digital solutions, including cloud technology, cybersecurity, data protection, virtualisation, storage, IT consulting services, DevOps, and infrastructure management and transformation services. The company serves several large technology companies, including IBM, Dell Technologies, Cisco, Palo Alto Networks, Red Hat, Commvault, Cohesity, Hitachi, Vantara, Checkpoint and Nutanix. According to provisional financials for FY26, as reported by CNBC TV18, VDA Infosolutions reported a net worth of ₹234.22 crore, turnover of ₹850 crore, and total assets of ₹427.43 crore. The company's aggregate income stood at ₹772 crore in FY24, ₹1,035 crore in FY25, and ₹850 crore (unaudited) in FY26. The deal follows a staggered structure where the 67% stake will be acquired in the first tranche, followed by the remaining 33% in three equal annual tranches of 11% each scheduled by August 31, 2027, August 31, 2028, and August 31, 2029, with full 100% acquisition expected by August 2029. Business Standard reports that this acquisition complements the company's core IT products distribution business and offers a strategic opportunity for forward integration in the enterprise technology and digital infrastructure solutions space.
The acquisition comes at a time when India's IT spending is expected to hit $176 billion in 2026, up 10.6% from 2025, according to a report from Gartner in November 2025. Data centre systems are expected to record the highest growth at 20.5%, while software is expected to grow by 17.6%, with IT services sitting at 11.1%. As per Gartner VP analyst D.D. Mishra, this momentum is driven by strong enterprise investments in infrastructure as a service (IaaS), consulting and application modernization. For Rashi Peripherals, the transaction allows the company to capitalize on the burgeoning demand for artificial intelligence-enabled IT environments, advanced data centre solutions, cybersecurity and hybrid IT managed services. The company will capitalize on the strategic partnership through focused growth in the technology services business.

Rashi Peripherals, which started out as a distributor of ICT products and solutions back in 1989, serves locations pan-India across 700 locations, supported by 56 branches, 50 service centres and 71 warehouses. The company offers services including pre-sale activities, solution design, technical support, marketing services, credit solutions, and warranty management across two major verticals: personal computing and enterprise solutions, and lifestyle and IT essentials.
