Prataap Snacks has successfully completed the acquisition of 100% of the issued, subscribed and paid-up share capital of RLOP Food Processing from its existing shareholders on 28 August 2026. According to reports from Business Standard, the transaction was executed for an aggregate consideration of ₹15,44,60,000. The acquisition has made the target company a wholly-owned subsidiary of Prataap Snacks. Based in North West Delhi, RLOP was incorporated on June 24, 2014, under the Companies Act, 2013, with the aim of engaging in food processing and related activities, though it has not commenced any commercial operations to date.
The acquisition is described as strategic in nature as the target company holds government-allotted leasehold land intended to be utilized for Prataap Snacks' proposed greenfield manufacturing project. As reported by Business Standard, this land acquisition provides the company with a key strategic asset for its future manufacturing expansion plans. RLOP holds leasehold rights over a parcel of land allotted by government authorities through the District Industries Centre in Madhya Pradesh. Given that the company has not generated any revenue from operations in the past three years, this acquisition represents a forward-looking strategy focused on future utilization of the land asset. According to Frism, this move is strategic but cash-intensive, with the stock likely to see a modest short-term uptick with limited longer-term impact until the plant materialises.
Following the completion of the acquisition, RLOP Food Processing has been reclassified as a wholly-owned subsidiary of Prataap Snacks. According to the company disclosure, this restructuring positions the target company as a fully integrated part of the Prataap Snacks group, enabling better operational control and strategic alignment. The transaction does not fall under the scope of a related party transaction, with Prataap Snacks Limited confirming that none of its promoters, promoter group, or group companies have any vested interest in RLOP Food Processing Private Limited.
The completion of this acquisition highlights Prataap Snacks Limited's ongoing efforts to enhance its resources and infrastructure aligned with its broader business objectives in the food processing sector. As reported by Business Upturn, this strategic move is expected to bolster the company's operational capabilities and expand its footprint in the food processing industry. The acquisition of the government-allotted leasehold land represents a significant step toward Prataap Snacks' proposed greenfield manufacturing project, positioning the company for future growth in the food processing sector. According to Frism, while the move is strategic but cash-intensive, it represents a forward-looking investment in the company's long-term manufacturing capabilities.
