
Poonawalla Fincorp has shortlisted Jefferies, Kotak Mahindra Capital, and JP Morgan as advisors for its proposed equity capital raise of up to ₹5,500 crore, according to multiple industry sources. The NBFC's Board of Directors gave an in-principle nod to the proposed capital raise on January 16, 2026, with the transaction currently subject to shareholder approval. As reported by Moneycontrol, the company has been given a 12-month window from the approval date to execute the fundraising process.
The proposed capital raise will be executed through a qualified institutional placement (QIP) or other routes, as confirmed by industry sources. According to Poonawalla Fincorp's response to Moneycontrol, the fundraising of up to ₹5,500 crore through equity, including a QIP, is currently subject to shareholder's approval. The company emphasized that it is too early to comment further on the deal structure, with any additional interpretation being purely speculative at this stage.
Poonawalla Fincorp demonstrated strong financial performance in the third quarter ended December 31, 2025, with net profit surging to ₹150.22 crore and revenues of ₹1,818.42 crore. As reported by Moneycontrol, the company's market capitalization stood at ₹35,060 crore at the end of trading on February 6, 2026. The firm's assets under management (AUM) reached ₹55,017 crore as of December 31, 2025, with 5,264 employees across its operations.
In July 2025, Poonawalla Fincorp had approved a fund infusion of up to ₹1,500 crore via the preferential allotment route by promoter entity Rising Sun Holdings. According to Moneycontrol reports, Adar Poonawalla, CEO of Serum Institute of India and Chairman of the Board of Directors, is the promoter entity behind this funding mechanism. The company's share price has risen by 38.37% in the last year and 16.19% in the last five trading sessions.
