
According to The Economic Times, Piramal Finance's first qualified institutional placement (QIP) since listing has attracted bids worth around ₹21,000 crore, nearly 10 times the ₹2,100 crore on offer. The strong institutional demand prompted the company to opt for the upper end of both the issue size and the price range, with shares offered in a range of ₹2,000 to ₹2,110 per equity share. Global investors including BlackRock, Goldman Sachs Asset Management, and Eastspring Investments participated, while domestic demand came from major mutual funds such as ICICI Prudential Mutual Fund, Nippon India Mutual Fund, Kotak Mutual Fund, Quant Mutual Fund, Axis Mutual Fund, and Aditya Birla Sun Life Mutual Fund. The company had set the QIP floor price at ₹2,102.65 per equity share based on SEBI regulations, with August 24, 2026 as the relevant date.
According to a regulatory filing, Piramal Finance has approved the issuance of 82.94 lakh warrants through a preferential issue on a private placement basis to Nithyam Realty Private Ltd, a promoter group entity. Each warrant carries a right to subscribe to one fully paid-up equity share with a face value of ₹2 each, at an issue price of ₹2,110 per warrant, including a premium of ₹2,108 per equity share. The issue price is ₹24.94 higher than the regulatory floor price of ₹2,085.06 determined under SEBI ICDR regulations. The company plans to raise ₹1,750.03 crore through this cash consideration arrangement. The warrants have an 18-month tenor with a 25% upfront payment at subscription, with the remaining 75% payable upon exercise. The transaction is subject to shareholders' approval and 'in-principle' approval from the stock exchanges, with an extraordinary general meeting scheduled for September 19, 2026.
As reported by The Economic Times, the first tranche of capital raised through the QIP is expected to add around two percentage points to the company's capital adequacy ratio, which stood at 18.9% before the fundraise. This would provide the lender with greater headroom to pursue retail loan growth without putting immediate pressure on capital buffers. The transaction will strengthen the company's balance sheet and support retail lending growth while maintaining healthy capital adequacy. The fundraising follows an approximately 80% surge in Piramal Finance's shares over the past year, with the stock trading around ₹2,220 on Thursday, close to its 52-week high. The QIP is part of a broader capital-raising programme of up to ₹4,000 crore announced by the company.
According to the company's Q1 FY27 results, Piramal Finance reported a 67% year-on-year surge in consolidated net profit to ₹461 crore in the quarter ended June 30, 2026, compared with ₹276.37 crore in the corresponding period of the last fiscal year. The company's consolidated revenue from operations stood at ₹3,368 crore during the quarter, marking a 27.7% YoY increase from ₹2,639 crore in Q1 FY26. As of the first quarter of FY27, Piramal Finance's total assets under management stood at ₹1.07 lakh crore. The company's Assets Under Management (AUM) increased 25% year-on-year to ₹1,06,940 crore, with AUM excluding the discontinued legacy business growing 32%. Retail AUM rose 32% to ₹91,249 crore, accounting for 85% of total AUM, while mortgage AUM increased 30% to ₹61,199 crore. Retail disbursements grew 44% to ₹12,527 crore, and the company expanded its network to 780 branches across 607 cities in 26 states, with its customer base growing 24% to 6 million.
Together with the ₹2,100 crore QIP and the ₹1,750 crore warrant issue, the combined transactions will result in an equity capital infusion of approximately ₹3,850 crore. The structure allows Piramal Finance to bring in institutional capital while securing an additional commitment from its promoter group. The non-bank lender is increasingly embedding artificial intelligence across its lending operations, seeking to improve operating efficiency and credit outcomes as its retail franchise scales. The company maintains a total market capitalisation of ₹48,409.29 crore as of August 24, 2026, with shares closing 0.14% higher at ₹2,183.80 on August 24.
