
Global private equity firm Permira has successfully acquired a 25.71% stake in Kids Clinic India Limited (KCIL), the parent company of Cloudnine Hospitals, in a transaction that values India's largest maternity and paediatric hospital chain at around ₹11,000 crore. According to latest reports from The Economic Times, the acquisition was executed through NuageLux BidCo, a private limited company newly incorporated under Luxembourg laws. The London-headquartered buyout firm has emerged ahead of rival TPG Capital to acquire the roughly 25% stake held by existing investor True North Capital.
The transaction is subject to regulatory approvals, with Permira having already sought the Competition Commission of India's (CCI) nod for the deal. As reported by The Economic Times, a potential indirect and minuscule vertical relationship has been identified between a controlled entity of Permira engaged in the manufacture and sale of pharmaceutical products in India (Upstream Market), and the Target (including its relevant entities) engaged in the provision of healthcare services in India (Downstream Market). The deal awaits appropriate regulatory clearances before completion.
The acquisition presents significant integration challenges, particularly with the planned merger of Apollo Cradle and Fertility centres into Cloudnine's model. As noted by The Economic Times, folding these entities into Cloudnine's operations is complex, and the company has historically carried high debt-to-equity ratios. Previous plans for a public listing were deferred amid volatile market conditions, adding further risk to the integration process.
KCIL has one wholly-owned subsidiary, Acquity Labs Private Limited, and is also in the process of acquiring Apollo Specialty Hospitals Private Limited and Apollo Fertility Centre Private Limited from Apollo Health and Lifestyle Limited, which is currently pending approval before the Competition Commission of India (CCI), according to the summary noted by The Economic Times. Cloudnine is also exploring acquisitions of further hospital ventures as part of its expansion strategy.
