
Manipal Health Enterprises Ltd has signed a Business Transfer Agreement (BTA) to acquire the entire operations and assets of Kinder Women's Hospital and Fertility Centre in Bengaluru for ₹130 crore, according to a regulatory filing by Manipal Health Enterprises. The agreement was signed on August 17, 2026, with the acquisition being undertaken through cash consideration involving the acquisition of the hospital's business operations and assets rather than shares of Kindorama Healthcare. The transaction is expected to be completed within 90 days of signing the agreement, subject to the fulfilment of conditions precedent mentioned in the BTA and statutory and customary approvals.
The acquired facility is located in the Doddanekundi Industrial Area of Bengaluru and was commissioned in 2022. As reported by Manipal Health Enterprises, the hospital has a capacity of 100 beds and specializes in women's health and fertility services. The proposed acquisition is allied to Manipal Health's existing healthcare business and is expected to provide further growth opportunities in line with the company's strategic direction, giving Manipal Health control over the entire business operations and assets of Kinder Hospital. The Kinder acquisition takes Manipal's network to 51 hospitals and more than 13,500 licensed beds across 14 states and Union Territories, serving around eight million patients annually with more than 11,000 doctors and 25,000 employees.
According to the company's disclosure, Kinder Hospital reported revenue from operations of ₹20.75 crore as of March 31, 2026. The transaction is structured as a business transfer rather than a share acquisition, allowing Manipal Health to purchase the hospital business itself, including its operations and assets, without acquiring the existing shareholders.
The acquisition is strategically positioned to consolidate Manipal Hospitals' position in one of Bengaluru's fast-growing healthcare markets while expanding access to clinical expertise and capabilities. The Kinder acquisition comes within weeks of Manipal Health's ₹9,275-crore initial public offering (IPO), which comprised an ₹8,000-crore fresh issue, with substantial proceeds earmarked for repayment of borrowings and ₹574 crore for the acquisition of a minority stake in Sahyadri Hospitals. According to Manipal Health Enterprises Managing Director and CEO Dilip Jose, the fundraise could theoretically make the company net-debt-free, giving it balance-sheet flexibility to pursue acquisitions when attractive opportunities emerge. The company has added around 5,500 beds across 31 hospitals through acquisitions over the past five years, with its major deals including Columbia Asia, Vikram Hospital, AMRI Hospitals, Medica Synergie and most recently, Sahyadri Hospitals. Manipal plans to invest around ₹4,000 crore to add roughly 2,400 beds over the next three to four years, with line of sight on around 3,000 additional beds over three years, including projects in Mumbai's Juhu, Pune, Raipur and Bengaluru.
