Mahindra & Mahindra has incorporated Novavayu Aerospace Limited (NAL) as a wholly owned subsidiary of Mahindra Defence Systems (MDSL), according to regulatory filings made on July 30. The Ministry of Corporate Affairs issued the certificate of incorporation on July 29, with the new entity becoming a step-down subsidiary of the automotive and farm equipment major. As reported by the company, Novavayu Aerospace will operate in the defence industry and undertake the manufacture of aircraft, aerospace products and related services and activities. The company is headquartered in Mumbai and represents Mahindra's strategic expansion into India's growing aerospace defence sector.
The new entity has been incorporated with an authorised share capital of ₹1 crore, comprising 10 lakh equity shares of ₹10 each. According to the regulatory filing, Mahindra Defence Systems, along with its nominee, has subscribed to 1 lakh equity shares aggregating ₹10 lakh, making the company a wholly owned subsidiary of MDSL. The ownership structure places Mahindra Advanced Technologies (MATL) as the ultimate parent company, which is wholly owned by Mahindra & Mahindra.
The incorporation represents Mahindra's continued expansion of its defence business, which spans armoured mobility, naval systems, surveillance solutions and aerospace. As reported by the company, the new subsidiary provides the group with a dedicated corporate vehicle for its aircraft and aerospace manufacturing ambitions. According to recent reports, this move aligns with Mahindra's strategic plan to step up its game in aerospace technology and strengthen its role in India's growing defence industry. However, the filing did not disclose any planned investments, manufacturing facilities, product pipeline or customer programmes for the newly incorporated company, nor did it specify a timeline for commencing operations.
