Mahindra & Mahindra Group CEO and Managing Director Anish Shah has sold 76,357 equity shares of the company on September 22, 2026. The transaction was disclosed to stock exchanges in a regulatory filing signed by Sailesh Kumar Daga, Company Secretary of Mahindra & Mahindra. The filing was communicated to the National Stock Exchange of India, BSE Limited, Luxembourg Stock Exchange, and London Stock Exchange Plc, reflecting the company's listing status on these international exchanges. As per ET Now, the company stated that "We wish to inform you that Dr. Anish Shah, Group CEO and Managing Director of the Company has sold 76,357 Equity Shares of the Company."
The company stated that the majority of proceeds from the share sale will be utilized by Shah to fund the tax payable upon the exercise of employee stock options (ESOPs) that have vested or will vest during the financial year 2026-27. This strategic move allows the CEO to monetize a portion of his equity holdings to meet the tax obligations associated with his employee stock option benefits. The filing serves as a standard compliance record under SEBI regulations governing insider trading and shareholding disclosures by promoters and key managerial personnel, providing clarity on the intended use of the divested funds.
Shah has served as the Group CEO and Managing Director of Mahindra & Mahindra since April 2020. Under his leadership, the group has continued to operate across its automotive, farm equipment, financial services, technology and other businesses. His tenure has spanned nearly five years, during which the company has maintained its diversified operations across multiple sectors.
The share sale announcement comes as Mahindra & Mahindra reported mixed earnings for the June quarter of FY27. The company's standalone net profit rose 6.8% year-on-year to ₹3,685 crore, beating the Bloomberg consensus estimate of ₹3,569 crore and surpassing the corresponding quarter's profit of ₹3,450 crore last year. Revenue increased 23% YoY to ₹41,920 crore, marginally exceeding Street estimates of ₹41,845 crore, with revenue standing at ₹34,083 crore in the year-ago quarter. However, EBITDA rose 7.9% YoY to ₹5,111 crore, missing the consensus estimate of ₹5,353 crore, with EBITDA margin contracting to 12.2% from 13.9% year-earlier and below the estimated 12.8%.
The transaction occurs as Mahindra & Mahindra shares have faced pressure over the past month. The stock closed 0.35% lower at ₹3,044.5 per share on Tuesday, with shares gaining 0.5% over the past week but declining 10.78% in the last one month. The stock is down 19.05% so far this year and has fallen 15.07% over the past one year, reflecting broader market challenges facing the automotive sector. Historical stock returns show the stock has gained 312.28% over five years despite recent volatility.
