The deal was funded via a $670 million financing package from top-tier global banks including Citi, Deutsche Bank, and JP Morgan, with TruBridge shareholders receiving $26.25 per share in cash.
The acquisition positions IKS Health to capture a significant share of a $260 billion total addressable market in the rural and community health sector. With nearly one in five Americans facing challenges accessing care, rural and community hospitals are under immediate pressure to alleviate administrative, clinical, and operational burdens. The combined organization now supports more than 2,000 healthcare organizations and over 150,000 clinicians across the U.S., with TruBridge contributing a customer base of more than 1,500 healthcare organizations and expertise spanning EHR systems, revenue cycle management, medical coding and analytics. The closure of the deal comes after IKS signed a definitive agreement in April to acquire TruBridge. Management expects the acquisition to be EPS accretive from Day 1 with 30% margin targets within 18-24 months post-integration.
