Carlyle Asia Partners has successfully completed its purchase of a majority stake in Nido Home Finance through a strategic investment exceeding ₹2,100 crore (around $215 million). The deal, first announced in February 2026, was closed on September 25, 2026, after obtaining all regulatory and statutory approvals. The transaction involved Carlyle Asia Partners as the primary investor, while CA Sardo Investments (an affiliate of The Carlyle Group) and Salisbury Investments (an investment vehicle of Aditya Puri and his family) served as sellers. The primary capital infusion totals around ₹1,450 crore, of which approximately ₹725 crore has already been received, with the balance to be infused over the next 18 months. Additionally, Carlyle has completed the secondary purchase of a 45% stake in Nido from Edelweiss for approximately ₹600 crore, bringing the total investment to over ₹2,100 crore.
The company, ERCSL and EFCL have completed the transfer of 45% of the paid-up equity share capital of Nido to the buyers for an aggregate consideration of ₹580.68 crore. As reported by CNBC TV18, Nido has issued 2,59,06,736 equity shares and 5,18,13,472 warrants to the buyers for an aggregate amount of ₹1,446.14 crore. The buyers now hold 58.26% shareholding of Nido, which will increase to 72.70% within 18 months on a fully diluted basis post conversion of the warrants. Following the completion of the capital infusion, Edelweiss will retain roughly 26% ownership in Nido on a fully diluted basis at the end of 18 months, with Edelweiss also receiving a share of the upside if Carlyle realises returns above a specified threshold.
Consequent to the sale and allotment of equity shares and warrants by Nido, the company has ceased to be a subsidiary of Edelweiss Financial Services. According to CNBC TV18, the sellers now hold 38.91% in Nido and would hold 25.46% on a fully diluted basis post conversion of the warrants. This significant divestment represents a major strategic restructuring for Edelweiss Financial Services in its subsidiary portfolio. The fresh capital is expected to nearly triple Nido's net worth to around ₹2,300 crore over the next 18 months, significantly strengthening its balance sheet and lending capacity. The transaction positions Nido to leverage the India affordable housing opportunity, with the home loan sector recording a 13.6% CAGR in disbursements over FY21-FY26, doubling to ₹11.7 lakh crore. For Edelweiss, the transaction provides Nido with fresh growth capital, while allowing Edelweiss to monetise part of its stake and reduce debt, with Nido also having access to Carlyle's operating expertise.

The company operates 68 branches across 11 states and 3 UTs, with 68% of loan accounts in non-metro markets.
