Easy Trip Planners co-founder Nishant Pitti pledged 34.51 crore shares worth ₹212 crore for personal use, representing 8.66% of the company's total share capital. According to the latest regulatory filing, the transaction was carried out on August 24, 2026, with the pledged shares transferred to Motilal Oswal Financial Services Limited as security cover for the borrowing. Following this pledge, Nishant Pitti now holds approximately 44.87 crore shares, representing 11.26% of EaseMy Trip's total share capital. The transaction value has been disclosed at ₹211.92 crore with a 1:1 security cover, and the funds raised will not be utilized for the listed company's business operations. This brings his total encumbered shares to 44.87 crore out of 45.37 crore total holdings, meaning almost his entire stake in the company is now pledged.
The travel stock closed 0.52% higher at ₹5.83 per share on BSE with a market capitalization of ₹2,323.05 crore on Friday, September 11. As reported by market data, the stock experienced an intraday range between ₹5.73 and ₹5.94 per share during the trading session. The stock has demonstrated significant volatility, declining approximately 30% in three months and 20.9% in 2026 so far. The company's 52-week high stands at ₹10.57 per share reached on February 18, 2026, while the 52-week low of ₹5.73 per share was recorded on September 11, 2026. The stock's return on equity (ROE) stands at -8.11%. A high level of pledged promoter holding can potentially create selling pressure if the lender invokes the pledged shares following a default or breach of financing terms, though the latest disclosure does not indicate any invocation or sale of shares.
According to the latest disclosure, Nishant Pitti holds 45.37 crore shares representing 11.39% of the company's total equity, making him among the three key promoters of EaseMy Trip. Fellow co-founders Rikant Pitti holds 23.02% stake and Prashant Pitti holds 9.15% stake respectively. Before the latest transaction, 10.36 crore shares from his holding were already encumbered, and the current pledge does not amount to a sale as Pitti continues to remain the owner of the shares. The shares have been offered as security against the borrowing from Motilal Oswal Financial Services, with the company noting that the borrowing is for the promoter's personal use and not undertaken for the benefit of Easy Trip Planners.
According to the company's latest financial results, EaseMy Trip reported a net loss of ₹8.08 crore in Q1FY27, which was an improvement from the ₹9.16 crore loss recorded in the March quarter. The company's net revenue stood at ₹81.19 crore in Q1FY27 compared to ₹90.4 crore in Q4FY26. The earnings per share improved to ₹-0.02 in the June quarter from ₹-0.03 in the March quarter, indicating marginal progress in profitability metrics. EaseMy Trip, founded in 2008 and listed in 2021, operates a zero-convenience-fee model and provides access to more than 400 airlines and around 2.9 million hotels globally.
Separately, EaseMy Trip has been pushing new product features as part of its broader "EaseMyTrip 2.0" strategy. In August, the company launched ReSave, a flight-booking add-on that tracks fares after a customer has completed a booking and passes back eligible savings if ticket prices subsequently fall. The feature works automatically and does not require travellers to separately monitor fares after purchase, with eligible net savings identified through the process returned to the customer at no additional cost. Rikant Pittie, CEO and Co-Founder, said the company sees the next phase of travel technology as extending beyond the booking transaction and creating value throughout the travel lifecycle. The rollout forms part of a wider product push that also includes development of Agentic AI capabilities aimed at making travel discovery and servicing more proactive and personalised.
