Engineering solutions provider DEE Development Engineers Ltd announced a significant change in its finance leadership, appointing Brham Prakash Yadav as Chief Financial Officer effective January 7, 2026. According to regulatory filings, the company's board of directors accepted the resignation of Chief Financial Officer Sameer Agarwal, effective from the close of business hours on January 5, 2026. In his resignation letter dated January 5, 2026, Agarwal stated that his decision was driven by personal professional priorities and future career plans requiring him to pursue opportunities outside the company. The board made the appointment decision during its meeting held on January 6, 2026, from 5:00 PM to 5:30 PM, with Yadav's appointment becoming effective from January 7, 2026. Agarwal confirmed that his departure was purely personal and not due to any disagreement or concern relating to the company's operations, financial reporting, internal controls, audit processes, governance standards, or compliance framework.
Brham Prakash Yadav brings 30 years of experience in finance and operations across manufacturing organisations with multiple plants. As reported by BW Online, he is both a Chartered Accountant and a Cost Accountant with a B.Com. (Hons.) degree from Delhi University. Yadav was most recently Chief Financial Officer and board member at Munjal Auto Industries Limited since May 2020, a publicly traded automobile components manufacturer with over ₹1,800 crore in revenue. At Munjal Auto Industries, he oversaw finance, treasury, taxation, internal controls, and investor relations across multiple manufacturing sites. Prior to this role, he served as AVP-Finance at Hema Engineering Industries Limited from September 2014 to April 2020, where he managed finance operations across six manufacturing plants with an approximate turnover of ₹1,500 crore. His extensive background includes capital-market transactions such as IPOs, private equity, mergers and acquisitions, and complex capital-raising activities. According to company reports, Yadav has overseen initiatives including ₹400 crore of private financing, multiple plant acquisitions, greenfield projects, cost-control programmes, and working capital initiatives.
KL Bansal, Chairman and Managing Director of DEE Development Engineers Limited, highlighted the strategic value of the appointment. As reported by the company, Bansal emphasized that Yadav's background in capital transactions, private equity, mergers and acquisitions, and initial public offerings would support the company's growth. Bansal stated that Brham brings a comprehensive blend of financial discipline, operational insight, and leadership acumen across large manufacturing enterprises, noting that his demonstrated ability to enforce cost and cash discipline will be instrumental as DEE scales operations and explores new growth opportunities domestically and internationally. The appointment was made based on recommendations from both the Nomination and Remuneration Committee and the Audit Committee. The new CFO expressed his commitment to leveraging the company's strong foundation, stating that DEE has established itself as a trusted specialist in process piping solutions, supported by a strong order book and an expanding global presence. Yadav added that he looks forward to collaborating with the leadership team to further strengthen financial governance, enhance capital efficiency, and support disciplined, sustainable growth. The company confirmed that Yadav is not debarred from holding the office of Chief Financial Officer by any regulatory authority.
The CFO appointment follows DEE Development Engineers' robust H1 FY26 performance, during which operational EBITDA rose 47.9% to ₹4,406 lakh, with margins of 16.3%. According to latest company data, Q2 operating income increased 39.2% year-on-year to ₹27,000 lakh, while H1 revenue rose 30.3% to ₹49,376 lakh. However, the company reported mixed quarterly results with a 20.1% year-on-year drop in consolidated net profit to ₹17.80 crore in Q2FY26, despite the strong revenue growth. Profit before tax (PBT) surged 85.4% YoY to ₹22.34 crore in the second quarter from ₹12.13 crore in the previous year. As of November 30, 2025, the order book stood at ₹1,332.53 crore.
The stock market reflected cautious sentiment regarding the leadership change. As reported, shares of DEE Development Engineers Ltd closed at ₹207.15, declining by ₹2.78 or 1.32% on January 7, the day the new CFO appointment became effective. This market movement occurred alongside the announcement of the finance leadership transition. The company provides process piping solutions through engineering, sourcing and manufacturing to the power, chemicals, and oil and gas sectors, with a product portfolio including high-pressure piping systems, pipe bends, LSAW pipes, fittings, pressure vessels and modular skids.
