
Ceigall India has signed a definitive Share Purchase Agreement (SPA) on June 3, 2026, to divest its stake in Ceigall Malout Abohar Sadhuwali Highways (CMASH), a road infrastructure project company in Punjab, to Neo Infra Income Opportunity Fund. The transaction involves Ceigall India and its wholly owned subsidiary, Ceigall Infra Projects, transferring their entire shareholding in CMASH to the infrastructure-focused investment fund. The total consideration for the transaction, including cash surplus, is valued at approximately ₹177 crore, subject to customary adjustments. As per CNBC TV18 and Business Standard, the deal is expected to close after completion of customary conditions precedent outlined in the agreement.
CMASH is a step-down subsidiary of Ceigall India and operates a highway asset in Punjab. For the financial year ended March 31, 2026, the company reported a turnover of ₹82.69 crore, contributing around 2.1% of Ceigall India's consolidated turnover. The project company's net worth stood at ₹136.11 crore, representing approximately 6.3% of the group's consolidated net worth. According to the latest regulatory filing, this transaction is not a related-party deal and the purchaser is not part of the promoter group.

As per the company's announcement, the monetization of operational infrastructure assets allows the company to recycle capital to support future growth opportunities across its infrastructure development and construction businesses. Sehgal emphasized that this transaction enables the company to unlock value and strengthen financial flexibility for future growth opportunities as it continues to expand its presence in the infrastructure sector.
The SPA follows a binding offer letter executed on February 9, 2026, with the completion of the sale anticipated shortly after fulfilling the conditions precedent outlined in the agreement. As per the regulatory filing, Neo Infra Income Opportunity Fund is managed by Neo Alternative Asset Managers Private Limited, a company registered under the Companies Act, 2013, with its registered office in Mumbai. The buyer is not affiliated with Ceigall India's promoter group or any related parties, ensuring the transaction does not fall under related party transactions. The transaction is outside any Scheme of Arrangement, and no slump sale disclosures are required as per the regulations. The intimation was submitted to the exchanges in compliance with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
