According to reports from Business Standard, Adani Ports has announced the acquisition of 100% stake in Jaypee Fertilizers & Industries Limited (JFIL). The acquisition involves JFIL, which serves as the holding company of Kanpur Fertilizers and Chemicals (KFCL), which owns certain industrial and commercial lands in Kanpur. This strategic move represents a significant expansion of Adani Ports' logistics infrastructure in North India, with the deal valued at ₹1,500 crore as part of the NCLT-approved resolution plan for Jaiprakash Associates.
As reported by Business Standard, KFCL holds approximately 243 acres of land in Kanpur, which is strategically positioned for the development of a world-class logistics park and warehousing facilities. These assets align directly with Adani Ports' existing logistics business operations and represent a valuable addition to the company's industrial land portfolio in the region. The Kanpur land parcel is considered suitable for developing a large logistics park and warehousing hub, supporting the company's ambitious expansion plans.
According to the report, the acquisition will further consolidate Adani Ports' inland logistics presence and service capabilities in North India. The move aligns with the company's ambitious expansion strategy to expand its MMLP network from 12 to 16 and increase warehousing capacity by approximately 4x by the year 2031. This expansion will significantly enhance the company's logistics infrastructure and operational capabilities across North India, supporting its target of expanding multimodal logistics parks and warehousing capacity.
As reported by Business Standard, the acquisition is being undertaken as per the terms of the Approved Resolution Plan for Jaiprakash Associates submitted by Adani Enterprises. The transaction was approved by the National Company Law Tribunal's Allahabad bench in March 2026 and later upheld by the National Company Law Appellate Tribunal in May 2026. The company has already obtained approval from the Competition Commission of India in August 2025. The acquisition is expected to be consummated within 90 days from the NCLT approval date of March 17, 2026, in line with the approved resolution plan.
