According to reports from CNBC TV18, The Hindu BusinessLine, The Times of India, and Moneycontrol, Hindustan Coca-Cola Holdings Ltd has filed draft papers with the Securities and Exchange Board of India (SEBI) to raise funds through an initial public offering. The company has submitted its Draft Red Herring Prospectus (DRHP) dated November 6, 2026 with the market regulator as part of the IPO preparation process. The proposed IPO will be entirely an offer for sale (OFS) of up to 99.75 crore equity shares by promoter Hindustan Coca-Cola Overseas Holdings Pte Ltd, as detailed in the draft red herring prospectus. The filing follows Coca-Cola's statement in June that it was exploring a potential listing of HCCH in 2027, with the company being the parent entity of Hindustan Coca-Cola Beverages (HCCB), the company's Indian bottling arm. As per Moneycontrol, the shares are proposed to be listed on the BSE and NSE in 2027.
As reported by CNBC TV18, The Hindu BusinessLine, The Times of India, and Moneycontrol, the company's founder will sell up to 99.75 crore equity shares in the IPO through an Offer for Sale (OFS) structure. This substantial share sale represents a significant portion of the company's equity structure and indicates the founder's commitment to the public offering process. Since the issue is entirely an OFS, the company will not receive any proceeds from the IPO, with the entire proceeds going to the selling shareholder. The company's retained units reported revenue from operations of ₹4,310.17 crore for the three months ended June 30, 2026, registering a year-on-year increase of 20.46%. Total sales volume grew 18.61% over the same period, demonstrating strong operational performance. According to the latest reports, EBITDA margin, excluding other income and exceptional items, increased to 17.20% from 13.76% in the same period last year, indicating improved profitability.
According to The Times of India, the TKC Report cited in the DRHP identifies HCCH as the largest non-alcoholic ready-to-drink (NARTD) beverage company by revenue among businesses operating exclusively in India in FY26. It also ranks the company as the largest bottler within the Coca-Cola System in India, based on units of concentrate sold. The company operates across three beverage categories: sparkling, hydration and stills, including juices, with its portfolio comprising 41 products as of June 30, 2026. HCCH maintains a distribution network spanning around 1.7 million retail outlets, supported by 2,273 distributors as of June 30, 2026. The company's manufacturing and sales portfolio includes popular brands such as Coca-Cola, Thums Up, Sprite, Minute Maid, Maaza, SmartWater, Kinley, Limca and Fanta, among others. As per the latest DRHP, the key select states have a combined population of approximately 616.9 million, include five of India's eight largest metropolitan cities and have GDP per capita approximately 1.5 times the all-India average.
As reported by The Times of India, The Coca-Cola Company held a 60% stake in HCCH through Hindustan Coca-Cola Overseas Holdings Pte Ltd as of the DRHP filing date, while the remaining 40% was owned by Jubilant Beverages Ltd, which became one of HCCH's promoters in July 2025. According to the latest reports, HCCH, which currently holds a majority stake of 60%, will reduce its holding to 45% after the IPO. The proposed listing comes amid Coca-Cola's global asset-light strategy, under which the beverage major has been divesting its bottling assets. India represents Coca-Cola's fifth-largest market globally and is expected to become its third-largest market globally in the coming years. In 2024, the company transferred its bottling operations in Rajasthan, Bihar, the Northeast and parts of West Bengal to existing bottlers through franchise arrangements, generating $290 million (around ₹2,420 crore) for Coca-Cola. Kandhari Global Beverages, SLMG Beverages and Moon Beverages were awarded the franchises for these operations.
According to the latest DRHP, the non-alcoholic ready-to-drink (NARTD) beverage market in the key select states was valued at ₹637.3 billion in FY26 and is expected to reach ₹1,183.2 billion by FY31, representing a CAGR of 13.17%. This significant growth trajectory underscores the substantial market opportunity that HCCH is positioned to capitalize on. The company has recently undergone a strategic reorientation, including deeper distribution, portfolio expansion and "optimising the package-price architecture to address portfolio gaps," as stated in the DRHP. John Murphy, president and chief financial officer of The Coca-Cola Company, told analysts after announcing the company's September-quarter results that they are exploring a potential IPO of their bottling operations in India and will provide further updates as appropriate.
According to CNBC TV18, The Hindu BusinessLine, The Times of India, and Moneycontrol, the filing of the DRHP with SEBI marks a crucial step in the IPO process. The company is backed by The Coca-Cola Company and Jubilant Beverages, providing strong institutional backing for the public offering. The mainboard large issues are then regulated by SEBI and quoted in the NSE or BSE after passing the regulatory approval. The proposed listing involves Kotak Mahindra Capital Company, Citigroup Global Markets India, JP Morgan India, Morgan Stanley India Company, Axis Capital, Goldman Sachs (India) Securities and IIFL Capital Services as book-running lead managers to the issue, while KFin Technologies serves as the registrar. The filing was reported by PTI on November 7, 2026, indicating the company's commitment to completing the regulatory requirements for the public offering.
