A comprehensive screen of the Value Research stock universe identified nine companies that combine promoter pledging with weak financial health indicators. The screening criteria included an Altman Z-score below 2.99, promoter pledge of 30% or more, and market capitalisation above ₹500 crore. According to the analysis, this combination creates a potentially dangerous scenario where a margin call can trigger a downward spiral, as the promoter's inability to support the company's shares can lead to forced selling that further pressures share prices.
The screen revealed significant exposure across multiple sectors, with Afcons Infrastructure leading at ₹8,921 crore market capitalisation and 50.2% promoter pledge. Other major names include B L Kashyap and Sons (₹1,174 crore, 58.3% pledge), Kirloskar Electric Company (₹859 crore, 37.5% pledge), and Shalimar Paints (₹635 crore, 52.9% pledge). The complete list includes BGR Energy Systems (₹1,869 crore, 30% pledge), CIAN Agro Industries & Infrastructure (₹2,796 crore, 30% pledge), India Power Corporation (₹620 crore, 40% pledge), and Sical Logistics (₹686 crore, 41.2% pledge).
The analysis highlights that engineering and construction companies, particularly Afcons Infrastructure, may have artificially low Z-scores due to their business model characteristics. These companies typically earn thin margins on long project cycles and carry substantial liabilities including customer advances, retention money, and payables that fund ongoing work. The report notes that while the pledge levels remain concerning, the underlying business model may explain some of the financial metrics that appear distressed.
The analysis recommends a systematic approach to evaluating companies with combined risk factors, starting with the Value Research Stock Rating that incorporates quality, growth, and valuation metrics. The second step involves examining the Altman Z-score zone and underlying reasons for the distress indicators. The third step requires analyzing the pledge trend across four quarters and understanding the stated reasons for the pledging, with rising pledges to service debt being particularly concerning. Finally, investors should assess the business's ability to generate cash flow through debt-to-equity ratios and interest coverage metrics to determine whether the company can support both its operations and the pledged shares.
