According to an Oct. 6 regulatory disclosure, the boards of Parataxis Ethereum and Parataxis Korea approved ending their merger agreement on the same day and signed a formal termination agreement. The companies withdrew the shareholder meeting scheduled for November 27 along with the remaining merger procedures. Parataxis Ethereum stated that continuing the transaction could expose it to large shareholder appraisal claims, which could lead to cash outflows and put pressure on its liquidity and financial position. The board reached its decision after reviewing work by a special merger committee and external legal advisers, with the company citing material changes in internal and external conditions that created uncertainty affecting key assumptions behind the deal.
The two companies had agreed on April 7 to combine through an absorption merger, with Parataxis Ethereum surviving and Parataxis Korea disappearing as a separate legal entity. Under the revised terms published in July, shareholders were due to vote on November 27, with the merger itself scheduled for January 1, 2027. Parataxis Ethereum was set to issue 29.77 million common shares, plus 195 preferred shares, under a merger ratio of 1 Parataxis Ethereum share for 0.2806763 Parataxis Korea share. The plan was intended to streamline governance structure, sharpen business focus among affiliates and stabilize finances, but was disrupted after the Korea Exchange decided in August to delist Parataxis Korea.
The main complication came from Parataxis Korea's KOSDAQ listing status. The Korea Exchange decided on August 19 to delist Parataxis Korea after the KOSDAQ Market Committee reviewed the company's case. Parataxis Korea challenged the decision one day later by filing an injunction request with the Seoul Southern District Court seeking to suspend the delisting and stop liquidation trading while the dispute remains unresolved. Trading was then suspended from August 21 pending confirmation of the court's decision. The Oct. 6 merger-withdrawal filing cited the prolonged uncertainty as a key factor, with Parataxis Ethereum noting that pushing ahead with the merger could deepen investor confusion and that repeated changes to the schedule and related disclosures could heighten confusion among shareholders and in the market.
Under the merger agreement, shareholder appraisal rights could trigger a large cash obligation, with the April filing stating that the merger could be terminated if combined appraisal claims multiplied by the purchase price exceeded KRW20 billion. Parataxis Ethereum's Oct. 6 disclosure cited the possibility of large-scale exercise of those rights as one reason to stop, with the company's board saying the resulting outflow could place a substantial burden on liquidity and the company's financial structure. The uncertainty around the transaction had reached a point where Parataxis Ethereum could no longer reasonably predict when its securities registration statement could be filed or become effective.
According to the regulatory disclosure, Parataxis Ethereum shares were quoted at roughly KRW1,304 late on Oct. 6, up 1.72% from the previous session. The company has adopted an Ethereum DAT strategy after being acquired last year by U.S. hedge fund Parataxis Holdings, becoming the first listed South Korean company to do so. As of October 6, according to CoinGecko, the company held about 10,450 Ether, ranking 13th among listed companies worldwide. The Oct. 6 merger filing does not announce any change to the company's Ethereum treasury strategy, with the company beginning 2026 as a separate Ethereum treasury company after the former Sinsiway was renamed following an investment by Parataxis-affiliated entities.
