
Pharmaceutical major Zydus Lifesciences has announced that its Board of Directors will meet on May 19, 2026, to consider a proposal for buyback of fully paid-up equity shares. According to a regulatory filing issued on May 13, the board meeting will also address the company's quarterly and annual financial results. The company clarified that the buyback proposal would be evaluated in accordance with applicable provisions under the Companies Act, SEBI Buy-back Regulations and other relevant laws.
As reported by LiveMint and confirmed by StockWatch Daily, the trading window for directors and designated persons under SEBI's insider trading regulations will remain closed until May 21, 2026, and will reopen for trading from May 22, 2026. The restriction will also apply in relation to the proposed buyback process. This regulatory framework ensures proper governance during the buyback consideration period.
According to the regulatory filing, share buybacks are commonly used by companies to return surplus cash to shareholders and optimize capital allocation. As reported by LiveMint, these buybacks can also reduce the number of outstanding shares in the market, which may support shareholder returns over the longer term. Market participants are now expected to closely track the size, pricing, and structure of the proposed buyback if approved by the board.
Zydus Lifesciences reported strong quarterly results for the quarter ended December, with revenue from operations increasing 30% year-on-year to ₹6,864.50 crore. As reported by LiveMint, the company's net profit rose marginally by 2% to ₹1,042 crore, though profit growth was affected by a one-time adjustment related to gratuity and leave encashment liabilities following the implementation of the government's new labour code. Excluding this impact, net profit increased 9% year-on-year to ₹1,110 crore.
According to LiveMint, the pharma stock has shown mixed performance with a 52-week high of ₹1,059 per share in September 2025 and a 52-week low of ₹835.85 in March 2026. The stock has been flat but in the red over the last month, down 0.5%, but has gained 26% in the last three months and 43% over the past year. The upcoming board meeting will also declare the results for the quarter ended March 2026 (Q4FY26).
