Zen Technologies has completed the transfer of 500 equity shares with a face value of ₹1 each to eligible employees of the company. According to the latest disclosure filed by Company Secretary and Compliance Officer Sourav Dhar on 16 September 2026, these shares were transferred from Zen Technologies Limited Employees Welfare Trust to employees whose vesting conditions under the ESOP Plan 2021 had been duly met. The shares were transferred at an exercise price of ₹500 per share, carrying a premium of ₹499 per share over the face value. As reported by Business Upturn, the transferred shares will hold equal ranking with Zen Technologies' existing equity shares, ensuring no alteration in the company's paid-up share capital post-transfer.
The share transfer was executed under the Zen Technologies Limited Employee Stock Option Plan-2021, which was originally filed with stock exchanges on 21 January 2022. As reported in the latest disclosure, the transfer occurred on 16 September 2026 and was completed upon the completion of respective vesting periods as applicable under the scheme. The scheme was filed pursuant to Regulation 10 of the SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021, ensuring proper compliance with the plan's terms and conditions. The Stock Option Plan in question was filed with regulatory authorities on January 21, 2022, adhering to the Securities and Exchange Board of India's regulations concerning Share Based Employee Benefits and Sweat Equity.
The shares were transferred from the Zen Technologies Limited Employees Welfare Trust, which was established exclusively for the purpose of implementing the employee stock option scheme. According to the latest disclosure, the total issued and paid-up share capital of the company remains unchanged at 9,02,90,356 equity shares following this transfer, as the shares came from the existing trust rather than a fresh allotment. The transferred shares carry no lock-in period and rank pari-passu with all existing equity shares of the company in all respects, making them freely tradeable by recipient employees from the date of transfer. As reported by Business Upturn, these shares are listed on both BSE Limited and the National Stock Exchange of India Limited, with Zen Technologies' shares carrying the ISIN number INE251B01027.
This move represents part of Zen Technologies' larger strategy to incentivise employees and align their goals with the company's growth, providing a direct stake in the firm's success. Under the guidance of Company Secretary and Compliance Officer Sourav Dhar, Zen Technologies continues to manage its equity distributions with meticulous attention to regulatory compliance and shareholder interests. The company's registered office is located at B-42, Industrial Estate, Sanathnagar, Hyderabad, Telangana, and has consistently complied with legal obligations concerning employee share-based benefits, managing the scheme via its dedicated Trust.
