Zen Technologies has approved a ₹135.15 crore investment for a 51.98% stake in defence technology company Cogknit Semantics Pvt Ltd, making it a subsidiary. According to reports from CNBC TV18, the Bengaluru-based company specializes in battlefield management systems and has received recognition including the Raksha Mantri's Award for Innovation (2022). The board approved the deal on October 17, 2026, with the investment comprising purchase of shares from existing shareholders and subscription to Series A Compulsorily Convertible Cumulative Preference Shares. Investor Ashish Kacholia and his associates also participated in the primary funding round.
The acquisition aligns with Zen Tech's proposed Samvid AI platform for shared battlefield awareness. As reported by CNBC TV18, Cogknit's battlefield management system (BMS) digitally connects tanks, vehicles and soldiers, providing commanders with real-time battlefield visibility. The system has completed field trials with the Indian Army and is designed and developed in India. Once the transaction is completed, subject to customary closing conditions, Cogknit will become a subsidiary with Zen nominating a majority of directors. The deal extends Zen's defence offerings beyond training, simulation, and anti-drone technology into AI-based battlefield management systems.
Cogknit reported a turnover of ₹0.48 crore in the 2025-26 financial year, according to the latest reports. The deal involves no regulatory approvals and completion is expected by December 13, 2026. Cogknit, founded in 2009, builds AI-based battlefield management and situational-awareness systems for armed forces. The Bengaluru-based company specializes in artificial intelligence applications for defence applications, making this acquisition strategically significant for Zen's AI capabilities.
