
Vijaya Diagnostic Centre has announced the 100% acquisition of Arya Wellness Centre, a well-established B2C focused integrated diagnostic centre in Guwahati, Assam. According to reports from Business Standard, the transaction was executed through a Business Transfer Agreement (BTA) for a consideration of ₹46 crore, marking the company's entry into the North-East India diagnostics market. The acquisition provides Vijaya with an established operating platform in Guwahati, which serves as the principal healthcare hub for Assam and the wider North-East region, catering not only to the city but also to patients travelling from neighbouring districts and states for advanced healthcare services.
Established in 2021 as a Joint Venture/AOP between North-Eastern Medical Research Institute Ltd. (NEMRIL) and Hexagonal Research Pvt. Ltd. (HRPL), Arya Wellness Centre operates from GS Road in Guwahati's prominent healthcare hub. In FY26, the business recorded revenue from operations of ~₹26 crore with IND AS EBITDA of ₹5.6 crore and IND AS Adjusted PAT of ₹2.5 crore. The business operates a single centre offering comprehensive diagnostic services across radiology and pathology, with over 85% of revenues generated from the B2C segment, supported by an experienced team of doctors with strong clinical credentials. Latest financial data shows the business maintains healthy financials with ~80% gross margin and ~21% EBITDA margin.
The acquisition is expected to close within approximately three months, subject to the fulfilment of customary Conditions Precedent (CPs) and other terms and conditions as set out in the BTA. As reported by Business Standard, the transaction represents a strategic expansion for Vijaya Diagnostic Centre into new geographic markets. The transaction structure involves a slump sale with 100% business acquisition through a BTA, with transaction completion expected by November/December 2026.
The acquisition aligns with Vijaya's long-term growth strategy and core principles of B2C-focused businesses, an integrated 'All Under One Roof' model and strategic geographic expansion. According to Business Standard, the transaction is described as a natural fit for the company, complementing its growing presence in West Bengal and extending its proven concentric-circles approach into the North-East region. The acquisition creates a strategic platform for further expansion across the North-East region, building on Vijaya's existing presence in West Bengal. Arya Wellness Centre specializes in high-end imaging, interventional procedures and histopathology with an established B2C customer base, located strategically at the heart of Guwahati's healthcare infrastructure.

She emphasized that Guwahati is a natural strategic extension of their growing presence in West Bengal and provides an attractive gateway to the North-East region. The acquisition provides Vijaya with a unique asset in Guwahati with a balanced mix of advanced and basic pathology and radiology services, making it strategically attractive. The company intends to build upon this base through a calibrated expansion strategy, with the acquisition being EPS accretive right from the onset while maintaining focus on capital efficiency and return thresholds.
