
The TVS Venu Group led by industrialist Venu Srinivasan will acquire a 5.64% stake in Jana Small Finance Bank through warrants worth ₹317 crore. According to latest disclosures, GWC Family Fund Investments, part of the TVS Venu Group, will subscribe to warrants through a preferential issue at ₹464.82 per share. The issue price represents a 5.3% discount to Jana SFB's closing price on Friday. The bank has also approved the issuance of warrants representing a 12.94% stake, valued at ₹729 crore, to investors including Capri Global Ventures, Singularity Large Value Fund and ICM Finance. As reported by Reuters, GWC has also expressed interest in increasing its stake in the bank up to 9.9%, subject to approval from the Reserve Bank of India.
According to the latest disclosures, TVS Motor Company will acquire a 4.9% stake in Jana Small Finance Bank for ₹193.31 crore in an all-cash transaction. The proposed acquisition involves the purchase of 51,60,903 equity shares of Jana Small Finance Bank, representing 4.9% of the bank's paid-up share capital as on May 18, 2026. The shares will be acquired from Jana Holdings Limited under a share purchase agreement, with the deal expected to complete within three months from May 18, 2026, subject to customary conditions precedent. The company's Investment Committee has approved the transaction, which is positioned as strategic rather than a control transaction given the minority size. TVS Motor clarified that the acquisition does not qualify as a related-party transaction and stated the investment is intended to provide better insight into the banking ecosystem.
