
TVS Motor Company announced on Monday, May 18, that it will acquire a 4.9% stake in Jana Small Finance Bank for ₹193.32 crore. According to the company's statement, the acquisition is part of a comprehensive deal where the TVS Venu Group will acquire a 9.9% stake on a fully diluted basis through a combination of primary issuance of warrants and secondary purchase. The board of directors approved a Share Purchase Agreement (SPA) with Jana Holdings Ltd for the purchase of 5,160,903 equity shares constituting 4.90% of the paid-up share capital. As per TVS Motor Company Chairman Sudarshan Venu, this investment is aligned with TVS Venu's long-term approach to support high-quality institutions that serve India's growing financial needs and its expanding digital financial eco-system.
As reported by the company, the acquisition cost of ₹193.32 crore reflects TVS Motor's strategic investment in the financial services sector. Market reaction to the announcement showed mixed results, with TVS Motor shares trading at ₹3,288.85 on the BSE, declining 5.1% at 3 PM on May 18. In contrast, Jana Small Finance Bank shares closed 5.5% lower at ₹462.35 per share on the BSE, partially recovering from the day's low of ₹455.40. From the beginning of the year, shares of TVS Motor India have fallen 14%, while Jana Small Finance Bank shares have climbed over 9% during the same time period.
The comprehensive fundraising by Jana Small Finance Bank involves multiple investors beyond TVS Venu Group. According to stock exchange filings, Shruti Lohia's 2I Capital PCC will invest ₹257 crore for a 4.6% stake, while Singularity Large Value Fund III, ICM Finance Private Ltd, Capri Global Ventures Private Ltd and Utpal Hemendra Sheth will also acquire small stakes in the bank. TVS Venu's Singapore-based group firm, GWC Family Fund Investments Pte Ltd, will acquire 5.6% for ₹318 crore in a primary market deal involving issuance of new shares. The total fundraising of ₹729 crore is being raised through convertible warrants on a preferential basis at ₹464.82 per share.
According to TVS Motor Company, the acquisition aims to provide better insight into the banking ecosystem and allow for mutual collaboration in various areas for the long-term success of Jana Small Finance Bank. As reported by the company, TVS Venu operates as an institutional platform to build, anchor and scale enterprises focused on mobility, financial services, real estate, and lifestyle sectors. Jana Small Finance Bank operates with over 12 million customers served, 822 outlets across 23 states and two Union Territories, and advances and deposits of over ₹35,000 crore each as of March 31, 2026. This marks TVS Venu's first investment in India's banking sector, requiring Reserve Bank of India approval for the 9.9% stake acquisition.
The fund infusion would boost Jana Small Finance Bank's capital adequacy ratio by around 3 percentage points from the current 19.4%. The bank is planning to upgrade itself as a universal bank, having reapplied for a license after an initial rejection in October 2025. The bank posted a ₹326 crore net profit for FY26, down from ₹474 crore the preceding fiscal year, while its gross loan portfolio rose 23% to ₹36,289 crore. This represents Jana's first share sale after its public listing in February 2024, with the acquisition expected to be completed within three months from May 18.
