Sammaan Capital's board on September 7, 2026 approved enabling authorisation to raise up to ₹25,000 crore through secured and/or unsecured redeemable non-convertible debentures (NCDs) or bonds via private placement. According to the latest company announcement, the fundraising will be carried out in one or more tranches during the period starting from the date of shareholders' authorisation at the ensuing Annual General Meeting (AGM) and will remain valid for one year. The company has scheduled its Twenty First Annual General Meeting for Wednesday, September 30, 2026, which will commence at 11:30 A.M. (IST) and will be conducted through Video Conferencing (VC) or other Audio-Visual Means (OAVM), in compliance with applicable regulatory circulars.
The company's board approved the reappointment of Shefali Shah as an Independent Director for a further term of three years, effective from November 14, 2026, subject to shareholders' approval. As reported by CNBC TV18, Shah's second term will run from November 14, 2026 to November 13, 2029, and she will not be liable to retire by rotation. Meanwhile, Sachin Chaudhary, Executive Director and Chief Operating Officer (COO), will retire from the board at the conclusion of the ensuing AGM and has decided not to offer himself for reappointment as a director. The company clarified that Chaudhary's cessation applies only to his position as a director, and he will continue with Sammaan Capital as COO with no change in his role, responsibilities or reporting.
According to CNBC TV18 reports, consolidated net profit fell to ₹243 crore in the first quarter of FY27 from ₹334 crore a year earlier, representing a 27.2% decline year-on-year. Revenue declined 31.6% to ₹1,642 crore from ₹2,400 crore in the year-earlier quarter. The June quarter was Sammaan Capital's first full quarter as part of the IHC Group following the completion of IHC's strategic investment in the company, with a subsequent open offer completed in May. High operational restructuring costs have impacted near-term earnings, with the company focusing on its transformation into an asset-light, retail mortgage platform.
The transaction involves a total committed investment of ₹8,850 crore and resulted in IHC becoming Sammaan Capital's promoter and controlling shareholder. As reported by CNBC TV18, Sammaan Capital has also reassessed provisions set aside against potential credit losses under the Ind AS 109 impairment framework. Following an independent macroeconomic assessment, the company recognised an additional expected credit loss management overlay of ₹1,850 crore over and above provisions generated by its models. On August 26, 2026, Brickwork Ratings upgraded Sammaan Capital's long-term credit rating to BWR AAA with a Stable Outlook, reflecting enhanced institutional backing and the company's evolution from a legacy promoter-led structure into a professionally managed, AAA-rated platform backed by global capital.
The company has successfully reduced its legacy wholesale book to under ₹25,000 crore from a peak of ₹37,386 crore, optimizing asset-side risks and aligning with the industry-wide shift toward asset-light lending models. Sammaan Capital also successfully completed a cash tender offer to buy back $18 million of its 2027 maturing Senior Secured Social Bonds, reducing the outstanding principal to $306 million. Shares of Sammaan Capital Ltd ended at ₹155.95, down by ₹2.50, or 1.58%, on the BSE, according to CNBC TV18 reports. The fundraising approval comes as the company continues its strategic integration with the IHC Group following the completion of the major investment transaction.
