Thane-based real estate developer Raymond Realty Ltd has approved raising ₹409 crore through a preferential issue of 66,57,373 convertible warrants to J K Investors (Bombay) Ltd, an entity belonging to the company's promoter group. According to latest exchange filings, the warrants will be issued for cash at ₹614 per warrant, including a premium of ₹604 per warrant. Each warrant will entitle the allottee to subscribe to one fully paid-up equity share of face value ₹10. The board's approval for the preferential issue of convertible warrants will bolster the company's balance sheet while placing warrants with the promoter group reflects strong sponsor commitment and long-term backing. The fundraise is subject to shareholder and other regulatory approvals.
Following the proposed issue and assuming full conversion of the warrants, J K Investors' shareholding in Raymond Realty will increase from 29.83% to 35.99%. As reported by CNBC TV18, its shareholding will rise from 1.99 crore shares to 2.65 crore shares. The promoter group's increasing stake, which rose to 50.93% in June 2026, further aligns promoter interest with minority shareholders. The warrants can be converted into equity shares, in one or more tranches, within a maximum period of 18 months from the date of allotment, providing the company with financial flexibility to execute its massive pipeline. If the warrants are not exercised within the stipulated period, they will lapse and the upfront amount paid for them will be forfeited.
The board has also approved increasing Raymond Realty's authorised share capital from ₹70 crore to ₹75 crore. This will involve the creation of an additional 50 lakh equity shares of ₹10 each, ranking pari passu with the existing equity shares. The proposed issue is subject to approval from the company's shareholders and other applicable statutory and regulatory approvals. The capital raise aligns with Raymond Realty's rapid asset-light joint development agreement (JDA) expansion strategy, with the company recently crossing ₹52,000 crore in Gross Development Value (GDV) following its entry into South Mumbai. In July 2026, Raymond Realty signed its 8th JDA to develop a premium residential project in Parel, South Mumbai, with an estimated Gross Development Value of ₹8,500 crore.
In the April-June quarter (Q1FY27), Raymond Realty reported total income of ₹536 crore, representing a 37% YoY rise, though profit fell 19% to ₹13.43 crore due to higher upfront costs. The company achieved sales bookings of ₹700 crore in Q1 FY27, more than doubling from ₹306 crore YoY. As reported by CNBC TV18, the company is maintaining a strong growth outlook, with management expecting pre-sales and revenue to grow at around 20% annually over the long term. Harmohan Sahni, MD, said the company's long-range plan indicates that pre-sales and the topline could roughly double every three-and-a-half years, supported by its expanding project pipeline.
Shares of Raymond Realty Ltd ended at ₹584.90, up by ₹13.45, or 2.35%, on the BSE. The announcement is expected to be viewed positively by the market as it demonstrates strong promoter backing and addresses the company's need for capital to drive execution across its ₹52,000 crore portfolio. While there will be eventual equity dilution upon conversion, the phased nature of warrant funding (with 25% typically paid upfront) mitigates immediate dilution concerns. The fundraising approval and increase in authorized share capital provide the necessary financial runway to execute the company's massive pipeline, with the MMR premium residential real estate sector witnessing robust demand prompting listed developers to aggressively scale their JDA portfolios.
