
PTC India and NLC India Renewables have successfully established their green energy partnership through the incorporation of NIRL PTC Renewables Limited on September 16, 2026. The entity received its certificate of incorporation from the Ministry of Corporate Affairs on this date, marking the official launch of this strategic collaboration. The joint venture represents a significant step in both companies' expansion into the renewable energy sector, with the partnership structure designed to capitalize on opportunities in India's expanding green energy market.
The joint venture follows a 74%-26% ownership structure, with NLC India Renewables holding the majority stake as a subsidiary of state-run NLC India. PTC India has committed to acquiring 26,000 equity shares at ₹10 face value each, representing the remaining 26% stake in the venture. As reported by PTC India, the investment was made in cash, with the company obtaining prior approval from the Department of Investment and Public Asset Management (DIPAM), Ministry of Finance before incorporation. The transaction details were disclosed in compliance with Regulation 30 of the SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015.
The joint venture will explore opportunities including the development of green energy projects, subject to the terms of its joint venture agreement and necessary regulatory approvals. According to PTC India's statement, the partnership aims to capitalize on opportunities in the expanding green energy sector while leveraging the combined expertise and resources of both companies. The venture represents a strategic move by both state-owned enterprises to strengthen their position in India's renewable energy market, with the joint venture agreement subject to other approvals as may be required under applicable laws and regulations.
Both companies' shares responded positively to the announcement, with PTC India shares closing at ₹156 on the NSE, up 4.04% or ₹6.05 on Thursday. NLC India shares also gained momentum, ending at ₹262.40, up 2.76% or ₹7.05. The positive market reaction reflects investor confidence in the strategic partnership and its potential to enhance both companies' renewable energy capabilities. Historical stock performance shows PTC India shares gained 55.54% over one year and 11.09% over five years, indicating strong investor interest in the company's diversification strategy.
