Mangalore Refinery and Petrochemicals Limited (MRPL) announced that its joint venture, ONGC Petrochemicals Marketing Limited (OPML), was officially incorporated as a public limited company on October 7, 2026. According to the latest regulatory filing under Regulation 30 of SEBI (LODR) Regulations 2015, OPML was incorporated under the Registrar of Companies under the Ministry of Corporate Affairs, with regulatory approvals granted by the Department of Investment and Public Asset Management under the Ministry of Finance. The company represents a strategic collaboration between Oil and Natural Gas Corporation Limited (ONGC), ONGC Petro additions Limited (OPaL), and MRPL, designed to create a single integrated market-facing entity for the ONGC Group. As reported by The Hindu BusinessLine, the incorporation aligns with group companies' existing downstream and petrochemicals business operations.
OPML has an authorised and subscribed share capital of ₹50 crore, divided into 5 crore equity shares of ₹10 each. As reported in the regulatory filing, the three promoters — ONGC, MRPL and OPaL — hold stakes in the ratio of 50:25:25. ONGC and its nominee shareholders have invested ₹25 crore to acquire 2.5 crore equity shares, while MRPL's contribution involves a cash consideration of ₹12.5 crore, which grants the company 25 per cent of the total paid-up equity share capital, equivalent to 1,25,00,000 equity shares at ₹10 per share. This share acquisition is conducted at an arm's-length basis, ensuring transparency and fairness in the transaction, with the equity shares subscribed at face value as confirmed by MRPL to stock exchanges. The filing shows the transaction was conducted at face value on an arm's-length basis, and relevant governmental approvals were secured before incorporation.
The new company will handle integrated marketing and trading of petrochemicals, chemicals and related products for the ONGC Group. According to the regulatory filing, OPML's primary objective is to serve as a comprehensive platform for marketing and trading petrochemicals and related products, enhancing brand presence and optimising business development, pricing, distribution, and logistics. The company's activities will include branding, business development, pricing, distribution, logistics, customer management, sourcing/trading, sales and operations planning. As a newly formed entity, OPML does not yet have a recorded operating turnover history, though it is designed to support the ONGC Group's existing downstream and petrochemicals operations with primary tasks including sourcing, sales, and customer management aimed at bolstering its presence in the Indian petrochemicals market. OPML will function as a single, integrated, market-facing platform for the ONGC Group's petrochemicals and chemicals portfolio, covering pricing, sourcing, storage, logistics, and sales planning, with operations extending to storage, sales planning and trading activities to support the group's downstream petrochemicals business.
MRPL's shares closed down 5.01 per cent at ₹173.70 on NSE on Thursday, against a market capitalisation of ₹30,468.93 crore. According to The Hindu BusinessLine, the stock movement occurred following the announcement of the joint venture incorporation, reflecting investor reaction to the strategic expansion into petrochemicals marketing through the new OPML venture. The establishment of OPML aligns with the company's existing focus areas, extending its outreach within the petrochemicals market and supporting the ONGC Group's integrated downstream operations. Investors will note that MRPL's cash outlay of ₹12.5 crore for the 25% stake is modest relative to the company's balance sheet, limiting immediate financial impact. The filing shows the transaction was conducted at face value on an arm's-length basis, and relevant governmental approvals were secured before incorporation.
