The company's total FY26 dividend works out to ₹235 per share when combined with two interim dividends of ₹3 each per share paid during FY26. This dividend declaration represents a significant payout to the company's shareholders following the completion of the financial year, with the final dividend subject to shareholder approval at the ensuing Annual General Meeting. The company's board also approved the audited financial results for the year ending 31st March 2026, with both standalone and consolidated figures, and the statutory auditor's report accompanying these results contained an unmodified opinion, indicating a clean audit.
As reported by Upstox Securities, MRF's standalone net profit for FY26 rose to ₹2,355.40 crores compared to ₹1,822.55 crores in the previous year, demonstrating strong operational performance. The company's revenue from operations increased to ₹30,652.08 crores from ₹27,665.22 crores year-on-year, while total income stood at ₹31,140.25 crores against ₹28,068.08 crores. On a consolidated basis, net profit from continuing operations rose to ₹2,426.10 crores from ₹1,873.29 crores, with revenue from operations reaching ₹31,149.01 crores compared to ₹28,153.00 crores in FY25. The EBITDA margin expanded to 16.22% from 15.30% year-on-year, indicating improved operational efficiency.
According to the reports from Upstox Securities, the board took note of the resignation of Mr. S Dhanvanth Kumar as Company Secretary, Compliance Officer, and Key Managerial Personnel, effective 7 May 2026, due to health reasons. Simultaneously, the board approved the appointment of Mr. Thulsidass T V as Vice President, General Counsel and Company Secretary, also with immediate effect from 7 May 2026. Mr. Thulsidass T V will additionally serve as Compliance Officer, Key Managerial Personnel, and part of Senior Management Personnel. Prior to joining MRF, he was associated with Britannia Industries Limited as Company Secretary and Compliance Officer, and brings over 25 years of experience in Secretarial, Compliance and Legal functions. The board has also re-appointed M M NISSIM & CO LLP as Joint Statutory Auditors for a period of five consecutive financial years, subject to shareholder approval at the next AGM, based on the audit committee's recommendation.
As reported by Upstox Securities, MRF's standalone total assets as at 31 March 2026 stood at ₹31,296.46 crores, compared to ₹29,096.10 crores as at 31 March 2025. Total equity increased to ₹20,451.95 crores from ₹18,175.87 crores. On a consolidated basis, total assets were ₹31,953.51 crores versus ₹29,688.94 crores, with total equity at ₹20,974.75 crores against ₹18,609.94 crores. The company also redeemed in full 15,000 listed, unsecured, rated, redeemable, taxable Non-Convertible Debentures aggregating to ₹150 crores during the quarter. The board approved the re-appointment of M M NISSIM & CO LLP as Joint Statutory Auditors for a period of five consecutive financial years, subject to shareholder approval. In a move to ensure continuity in financial governance, the Board has re-appointed Messrs. M M NISSIM & CO LLP as the Joint Statutory Auditors of the company, with their re-appointment covering the period from the 65th Annual General Meeting until the conclusion of the 70th Annual General Meeting.
