
E-commerce platform Meesho Ltd announced the acquisition of Kirana Club Pte. Ltd. and Retail Pulse Labs Private Ltd for ₹202.08 crore in a cash deal approved by the company's board on June 12. According to the latest regulatory filing, Meesho will acquire *100% of Singapore-incorporated Kirana Club and an additional 0.41% stake in its Indian subsidiary Retail Pulse Labs from identified selling shareholders. Following completion, Kirana Club will become a wholly owned subsidiary of Meesho, while Retail Pulse Labs will become a step-down subsidiary with Meesho holding 99.59% indirectly through Kirana Club and the remaining 0.41% directly. The acquisition will be executed in three tranches and completed on or before March 31, 2027, subject to regulatory approvals and satisfaction of conditions precedent. The transaction will provide a full exit to Kirana Club's existing investors, while the company's founders are expected to continue leading the business after the acquisition.
Kirana Club, founded in 2020 by Anshul Gupta and Aishwarya Jain, operates a community-led B2B commerce platform designed specifically for kirana retailers. As reported by Business Standard, the platform has built one of India's largest digital communities of kirana owners, with more than 4.1 million registered retailers across India. The company's mobile-first platform enables retailers to discover, compare and order FMCG and grocery products directly from brands through a marketplace purpose-built for underserved markets across Bharat. The platform operates on a zero-inventory, zero-field-sales, asset-light model designed specifically for kiranas outside metro India, helping small retailers navigate fragmented supply chains through product sourcing, price comparisons and peer engagement. According to Kirana Club's Co-founder and CEO Anshul Gupta, the platform was built on the belief that small retailers in Bharat deserve the same access, transparency, and efficiency as modern retail, combining community, local insights and commerce to build deep trust with kirana retailers. As per Business Standard, Kirana Club was incorporated in Singapore and develops proprietary software applications, operating a digital platform catering to grocery retailers. The platform serves India's $650 billion-plus grocery market, where kirana and general trade channels account for nearly 91% of distribution.
According to disclosures by Meesho, Retail Pulse Labs Private Ltd reported unaudited turnover of ₹15.84 crore in FY26, with a net loss of ₹0.30 crore. Kirana Club reported unaudited turnover of SGD 45,808.25 and a net loss of SGD 739,910.99 for the same period. Retail Pulse Labs runs a B2B e-commerce marketplace that connects kirana stores and small retailers with FMCG brands and distributors, primarily across tier-2, tier-3, and tier-4 towns and rural markets, generating revenue through commissions and advertising services. Kirana Club operates as a Singapore-incorporated entity that develops proprietary software applications and operates a digital platform catering to grocery retailers.
According to Meesho's CEO Vidit Aatrey, as reported by Business Standard, the acquisition strengthens the company's mission of democratising internet commerce across India, particularly across underserved kirana markets that form the backbone of the country's retail ecosystem. Meesho, which positions itself as India's largest e-commerce platform by Annual Transacting Users and Orders, stated that the acquisition will extend its scale in internet commerce to Kirana Club's community-led B2B marketplace. The integration will provide Kirana Club access to Meesho's logistics and supplier network, helping expand product selection and improve distribution to small retailers. Meesho has a total market capitalisation of ₹76,791.64 crore as of June 12, 2026, according to NSE data. Kirana Club will continue to operate independently within the Meesho group, with Meesho transforming internet commerce for consumers across Bharat through a capital-efficient third-party marketplace model. As part of the Meesho ecosystem, Kirana Club is expected to benefit from the company's logistics network, supplier relationships and marketplace infrastructure, helping expand category offerings, improve fulfilment efficiencies and accelerate retailer onboarding across underserved markets.
Shares of Meesho Ltd closed 0.71% lower at ₹167.15 on the BSE following the announcement made after market hours. The acquisition comes after Meesho reported FY26 consolidated revenue of ₹12,626 crore, up about 35% from the previous year, with net loss narrowing to about ₹1,358 crore from ₹3,942 crore in FY25. According to Business Standard, Meesho's consolidated net loss narrowed to ₹166.34 crore in Q4 FY26 compared with net loss of ₹1,393.12 crore in Q4 FY25, while revenue from operations climbed 47.14% YoY to ₹3,531.21 crore in Q4 FY26.
