Jagsonpal Pharmaceuticals Ltd has entered into a Business Transfer Agreement with Group Pharmaceuticals Ltd to acquire its Wellness Portfolio for a total consideration of up to ₹46.7 crore through a slump sale. According to reports from CNBC TV18 and Business Standard, the transaction involves an initial consideration of ₹23.7 crore on closing, with additional consideration of up to ₹23 crore linked to FY2027-28 sales, subject to a total consideration cap of ₹46.7 crore. The acquisition was formalized on September 23, 2026, on a going-concern basis, with the transaction expected to be completed on or before November 1, 2026, subject to fulfilment of conditions precedent and other terms of the BTA.
The Wellness Portfolio recorded a turnover of ₹24.6 crore in FY2025-26, as reported by CNBC TV18 and Business Standard. With an initial consideration of ₹23.7 crore, Jagsonpal is paying nearly one times the annual revenue upfront. The total potential outlay of ₹46.7 crore represents approximately 1.9 times the FY26 turnover. This structure suggests Jagsonpal is pricing the deal based on projected growth in the women's health segment rather than historical revenue alone, betting that the portfolio will scale significantly by FY28 to justify the earn-out component. The acquisition will strengthen Jagsonpal's pharmaceutical portfolio, expand its presence across relevant therapeutic segments and enhance its market reach.
According to Business Standard, Jagsonpal intends to integrate the acquired portfolio with its existing commercial platform and capabilities while leveraging its existing distribution network to create operating synergies. Manish Gupta, Managing Director stated that the acquisition marks another meaningful step in their growth journey, strengthening their pharmaceutical portfolio and expanding presence across complementary therapeutic segments, especially in women's healthcare. Amrut Medhekar, Chief Operating Officer, expressed excitement about the acquisition as they embark on their next phase of growth, expanding their field force and creating significant cross-selling opportunities across their portfolio. The deal aligns with Jagsonpal's strategic objective of enhancing market reach and integrating established products into its existing commercial platform while maintaining an asset-light growth approach.
As reported by CNBC TV18 and Business Standard, Jagsonpal has a pharmaceutical portfolio focused on gynaecology, orthopaedics, dermatology and child-care segments, with over 20 brands, including the top five brands in the molecule category, a pan-India presence and a sales team of over 1,000 professionals. The company reported strong Q1 FY27 results with standalone net profit increasing 22.15% year-on-year to ₹13.18 crore for the quarter ended June 30, 2026, compared with ₹10.79 crore in Q1 FY26. Revenue from operations grew 8.76% YoY to ₹82.23 crore during the quarter from ₹75.60 crore in Q1 FY26. The acquisition aligns with Jagsonpal's strategic objective of strengthening and expanding its pharmaceutical portfolio, enhancing its presence in relevant therapeutic segments and expanding market reach.
