
HCL Technologies has successfully completed the acquisition of Guardian India Operations Private Limited, securing a 100% stake in the India-based company. According to reports from ET Now, the transaction was concluded at 11:59 PM IST on July 31, 2026, marking the successful completion of a strategic acquisition announced earlier. The company informed the Bombay Stock Exchange (BSE) and National Stock Exchange of India (NSE) about the completion on August 1, 2026, following its earlier disclosure dated July 16, 2026.
The acquisition was executed for $10.5 million (approximately ₹101 crore), as reported by ET Now. The deal involved nearly 2,000 employees of the US-based firm transitioning to HCLTech under a seven-year partnership with Guardian Life Insurance. Guardian India, incorporated in March 2002, serves as the technology and operations Global Capability Centre (GCC) for the American company and reported revenue of ₹578.8 crore in FY26, up from ₹483.2 crore in FY25.
Under the agreement, HCLTech acquired a 100% stake in the entity that serves as the technology and operations Global Capability Centre for Guardian Life Insurance Company of America. As reported by ET Now, nearly 2,000 employees will integrate into HCLTech with the establishment of a dedicated Strategic Business Unit focused exclusively on supporting Guardian to drive technology innovation, engineering excellence, operational transformation and maturity across Guardian's products and services. Karunakaran Azhisur, currently the Country Head of Guardian India, will join HCLTech to lead the new Strategic Business Unit.
The seven-year partnership aims to advance Guardian's AI-powered modernisation across its technology and operations. According to ET Now, HCLTech will expand the use of its AI service transformation platform, 'AI Force', to create and deploy agentic capabilities for Guardian. Srinivasan Seshadri, Chief Growth Officer and Global Head of Financial Services at HCLTech, expressed excitement about welcoming the talented team and highlighted the opportunity to co-create products and intellectual property that will deepen HCLTech's domain expertise and help clients achieve sustained business growth.
