Dairy products manufacturer Hatsun Agro Product Ltd informed stock exchanges about an unintentional leak of financial information through social media on January 6, 2026. According to the company's regulatory filing, a senior executive inadvertently uploaded first-cut draft of unaudited financial statements for the quarter ended December 31, 2025, to his personal WhatsApp status on January 4, 2026, at around 5 pm. The draft figures were being shared internally with the accounts department when the incident occurred. As reported by The Times of India, the company described this as an unusual corporate governance lapse that required immediate disclosure to maintain transparency standards.
The company reported that the draft information, which may constitute unpublished price-sensitive information (UPSI), was visible to approximately 19 people in the senior executive's contact list, including a few company insiders. As reported by Hatsun Agro, the WhatsApp status was deleted within an hour upon discovery of the incident. The company emphasized that the figures were in a very draft form and subject to changes during the ongoing limited review process. According to regulatory requirements, the Securities and Exchange Board of India has strict insider trading rules under the Listing Obligations and Disclosure Requirements Regulations, 2015, which mandate that company insiders cannot trade or communicate UPSI to make unfair gains in the securities market.
Demonstrating a commitment to high degree of corporate governance, Hatsun Agro proactively disclosed the incident to stock exchanges as a precautionary measure. The company stated it will inform the audit committee and board of directors about the incident shortly and has initiated an internal inquiry in line with SEBI (Prohibition of Insider Trading) Regulations, 2015 and the company's insider trading code. According to the latest filing, the inquiry committee's report will be disclosed to the public upon completion of the investigation. As part of remedial steps, the company is updating its structured digital database to include all persons who viewed the alleged unpublished price-sensitive information, as required under insider trading regulations.
Following the disclosure, shares of Hatsun Agro Product Ltd settled 1.6% lower at ₹963.35 on the NSE, ahead of the disclosure, compared to a 0.3% decline in the benchmark Nifty 50. According to market data, the stock has fallen 5% in the last 12 months. The company's swift response and transparent reporting aim to address any potential investor concerns, though such incidents can raise questions about information handling processes and potentially lead to regulatory scrutiny. The December quarter financial results are yet to be formally announced, as reported by The Times of India.
The inadvertent disclosure highlights the critical importance of stringent data security protocols within publicly listed companies. Even a brief, unauthorized release of preliminary financial data, considered unpublished price-sensitive information, can attract regulatory attention. Hatsun Agro's proactive reporting and swift initiation of an internal investigation demonstrate its commitment to transparency and adherence to high corporate governance standards. Investors will be monitoring the outcome of the internal inquiry and the public disclosure of the investigation committee's report, along with any further directives from regulatory bodies.
