According to latest reports, the company has signed a definitive agreement to acquire 100% equity stake in Japan-based MicroBiopharm Japan Co. (MBJ) for approximately JPY 21.5 billion, or nearly ₹1,300 crore. The transaction will be executed through a wholly owned subsidiary, Themis Biosyn Japan Limited, with closure expected in Q2 FY2027, subject to regulatory approvals and customary closing conditions.
MBJ operates in fermentation-based research, development and manufacturing of pharmaceuticals, specialty chemicals and CDMO services. As reported by Business Standard, the Japanese company possesses capabilities across oncology APIs, plasmid DNA manufacturing, ADC conjugation and biologics. MBJ reported estimated revenue of JPY 9.5 billion, or around ₹570 crore, for FY2026, with approximately 40% of its revenue coming from overseas markets outside Japan. The company's manufacturing infrastructure includes two of its three facilities in Japan that have undergone audits by the US FDA and Japan's PMDA. From a technical perspective, the stock continues to look strong, trading well above its 50-day moving average of ₹318.18 and its 200-day moving average of ₹369.93, which suggests momentum remains firmly positive.
According to Business Standard, Gujarat Themis Biosyn described this acquisition as a strategic step in its transition from a fermentation-led intermediates business to a technology-driven Contract Development and Manufacturing Organisation (CDMO) platform focused on precision fermentation and next-generation drug manufacturing. The deal will provide access to MBJ's proprietary technologies, global customer relationships and regulated manufacturing infrastructure. The acquisition is proposed to be funded through a mix of debt and equity and is expected to be earnings accretive.
